Item 7.01 Regulation FD Disclosure.

On May 21, 2024, Planet 13 Holdings Inc. (the “Company”) issued a press release announcing the release of preliminary, unaudited financial results for VidaCann, LLC for the year ended December 31, 2023 and the first quarter ended March 31, 2024. A copy of the press release is attached hereto as Exhibit 99.1.
