On July 21, 2025, DeFi Development Corp. (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) reporting the issuance of a press release disclosing updates on its utilization of the equity line of credit, holdings of Solana (“SOL”) and Solana equivalents and related metrics. A copy of the press release was included as Exhibit 99.1 to the Original Report.
On July 22, 2025, the Company issued an updated press release to correct the original press release, which had originally overstated the SOL purchase amount by 1,000 SOL and understated the organic growth amount by 1,000 SOL (the “Corrected Press Release”). This Form 8-K/A (this “Amendment”) is being filed solely to furnish the corrected press release as Exhibit 99.1. Except for the aforementioned change, this Amendment does not amend, update or change any other items or disclosures contained in the Original Report.
