8.01 Other Events
On August 25, 2025, Heritage Distilling Holding Company, Inc. (the “Company”) issued a press release announcing certain recent developments, including a reduction in its outstanding liabilities by $19.3 million, including the settlement of all of its secured indebtedness, and, in connection with the recent launch of its digital asset treasury strategy, the acquisition by the Company of more than 53.2 million $IP tokens that were valued at more than $320 million based upon the August 22, 2025 closing price of $6.0668 per $IP token as reported by CoinMarketCap.com. The Company intends to continue to pursue its current lines of business in addition to the pursuit of its digital asset treasury strategy.
