Item 1.01    Entry into a Material Definitive Agreement.

On January 19, 2024, Angel Oak Mortgage REIT, Inc. (the “Company”) and one of its subsidiaries (the “Subsidiary”), entered into Amendment No. 2 (the “MRA Amendment”) to the Amended and Restated Master Repurchase Agreement (the “Master Repurchase Agreement”) with a Lender, “Global Investment Bank 2”. Pursuant to the MRA Amendment, the termination date of the loan financing facility has been extended through May 2, 2024. This facility had previously been set to expire on February 2, 2024.

A copy of the MRA Amendment is attached hereto as Exhibit 10.1 and incorporated herein by reference.
