Item 7.01. Regulation FD Disclosure.
The Chief Executive Officer of Highlands REIT, Inc. (the “Company” or “Highlands”) plans to include the following remarks at the Company’s 2025 Annual Meeting of Stockholders.
“Looking ahead, we continue to grapple with challenges facing the non-core portfolio, which still has assets that need significant work, including our long-vacant correctional facility, undeveloped land in Florida and other low-to-no-equity properties. Of course, our few remaining non-core properties will be some of the most difficult to resolve; that’s why they’re last. A number of factors affecting these properties are outside our control; we can’t predict what will happen with tariffs, inflation, interest rates, real estate markets or the economy generally. Having said that, we are cautiously optimistic with some of the assets in our non-core portfolio. But turning these last few assets around will take some time. In the interim, we will continue to explore offering an additional liquidity option to our shareholders, which we expect to announce within a year.”
