Item 8.01 Other Events
 
On January 9, 2025, the Company closed the previously reported acquisition of 100% of the outstanding ownership interests of Torcatt Enterprises Limitada for $17 million. Torcatt Enterprises Limitada is a holding company that owns interests in two vessels (48 passenger capacity and 16 passenger capacity) operating in the Galapagos Islands, and the acquisition expands the Company's operations in one of its core markets.
