ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
Jennifer Schmidt resigned from the Board of Directors (the “Board”) of US Alliance Corporation (the “Company”) and from the Company’s Compensation and Nominating Committees, effective December 19, 2024. Ms. Schmidt did not resign from the Board and committees due to any disagreement with the Company. Ms. Schmidt forfeits all shares awarded under the restricted stock agreement entered into on December 11, 2024.
 
The Company does not intend to select a replacement for Ms. Schmidt at this time.
