Item 1.01 Entry Into a Material Definitive Agreement.
Credit Agreement Amendment
On September 8, 2021, Forum Energy Technologies, Inc. (the “Company”) entered into an amendment (the “Credit Agreement Amendment”) to the Third Amended and Restated Credit Agreement, dated as of October 30, 2017 (as amended and supplemented, the “Credit Agreement”), among the Company, as borrower, the other borrowers party thereto, the guarantors party thereto, the lenders party thereto, Wells Fargo Bank, National Association, as Administrative Agent, and the other parties named therein.
Pursuant to the Credit Agreement Amendment, the Credit Agreement was modified to, among other things, (i) change the maturity date to September 8, 2026, subject to certain exceptions, (ii) reduce the aggregate amount of the commitments thereunder to $179.0 million, and (iii) change the interest rate applicable to outstanding loans to, at the option of the Company, LIBOR plus a margin of 2.25% to 2.75% or a base rate plus a margin of 1.25% to 1.75%, in each case, based upon the Company’s quarterly total net leverage ratio, with a LIBOR floor equal to 0.00%.
