Under U.S. Securities and Exchange Commission (“SEC”) rules, you are receiving this notice that the proxy materials for the Special Meeting of Stockholders (the “Special Meeting”) of Digital Ally, Inc. (the “Company”) are available on the Internet.

 

We are using the “e-proxy” rules adopted by the SEC to furnish proxy materials to stockholders through a “notice only” model using the Internet. This allows us to reduce costs by delivering to stockholders an E-Proxy Notice and providing online access to the documents.

Only shareholders who owned shares of the Company’s common stock, par value $0.001 per share (“Common Stock”) at the close of business on the record date, October 21, 2021 (the “Record Date”), may vote at the Special Meeting or any adjournment or postponement of the Special Meeting that may take place.

We are asking our stockholders to vote on the following proposals at the Special Meeting:

 

  1. Approval of an amendment to our Articles of Incorporation to increase the number of authorized shares of our capital stock that we may issue from 100,000,000 shares to 300,000,000 shares, of which all 300,000,000 shares shall be classified as common stock, par value $0.001 per share.
     
  2. Approval of an adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies.
     
  3. Such other business as may properly come before meeting or any adjournment thereof.

 

The Board of Directors recommends that you vote FOR Proposals 1 and 2.
