Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Directors; Compensatory Arrangements of Certain Officers.
On May 21, 2025, Enrique Toledo, Chief People Officer, notified ModivCare Inc. (the “Company”) of his resignation. Mr. Toledo has agreed to continue to serve the Company in a transitional role that is expected to end on June 27, 2025. Mr. Toledo’s departure is not the result of any dispute or disagreement with the Company, the Company’s management or the Board of Directors of the Company on any matter relating to the Company’s operations, policies or practices.
