We have acted as counsel for Fennec Pharmaceuticals Inc., a British Columbia corporation (the “Company”), in connection with the issuance and sale by the Company (the “Offering”) of an aggregate of 4,666,667 common shares, no par value (the “Shares”) in the capital of the Company pursuant to an underwriting agreement dated November 13, 2025 (the “Underwriting Agreement”) with Piper Sandler & Co. and Craig-Hallum Capital Group LLC, as representatives of the several underwriters named therein. The Offering was made under the Company’s effective shelf registration statement on Form S-3 (Registration No. 333-275452), which was previously filed with the Securities Exchange Commission (the “Commission”) on November 9, 2023 and declared effective on December 15, 2023 (the “Registration Statement”) and a prospectus supplement filed on or about November 14, 2025 (the “Prospectus Supplement”) with the Commission (such Registration Statement, together with the base prospectus (the “Base Prospectus”), and the Prospectus Supplement, each as included within the Registration Statement (the Base Prospectus and the Prospectus Supplement are together referred to herein as the “Prospectus”).

 

In connection with this opinion, we have examined and relied upon: (i) the Underwriting Agreement; (ii) the Prospectus; (iii) the currently effective Articles and Notice of Articles of the Company, as amended to date (the “Articles”); (iv) certain resolutions of the Board of Directors of the Company, and a duly created and authorized Pricing Committee thereof, evidencing the corporate proceedings taken by the Company to authorize the issuance of the Shares; and (v) such other documents as we have deemed appropriate or necessary as a basis for the opinion hereinafter expressed. In our examination, we have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals and the conformity with the originals of all documents submitted to us as copies. This opinion letter is given, and all statements herein are made, in the context of the foregoing.

 

This opinion letter is based solely on the present laws and applicable regulations of the Province of British Columbia and the laws of Canada in force therein. We express no opinion as to matters involving the laws of any other jurisdiction.

 

Based upon, subject to and limited by the foregoing, it is our opinion that, upon issuance, delivery and payment therefor in the manner contemplated by the Prospectus and the Underwriting Agreement, the Shares will be validly issued, fully paid and nonassessable.
