Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) Effective February 15, 2005, Dennis Rimac, the Company’s Controller and then Principal Accounting Officer resigned for personal reasons.
(c) Effective as of Mr. Rimac’s resignation, the Company’s Chief Financial Officer, Cornelius Stam, assumed the additional position of Principal Accounting Officer. Mr. Stam, age 57, has been our Chief Financial Officer since October 2002 and was a Director of Property Management from June 2000 through December 2004. Mr. Stam was the Executive Director of Property Management of IRM Corporation from August 1998 through June 2000.
