The filing by Novo Integrated Sciences, Inc. (the “Company”) of the Company’s Quarterly Report on Form 10-Q for the quarter ended November 30, 2022 (the “Quarterly Report”) will be delayed due to the additional time required to obtain and compile certain information required to be included in the Company’s Annual Report on Form 10-K for the fiscal year ended August 31, 2022 (the “Annual Report”) and in the Company’s Quarterly Report, which delay could not be eliminated by the Company without unreasonable effort and expense. The Company expects to file the Quarterly Report as soon as practicable following the filing of the Company’s Annual Report.

	The Company anticipates a significant change in results of operations from the quarter ended November 30, 2022. However, as indicated in Part III above, the filing by the Company of its Annual Report and its Quarterly Report will be delayed due to the additional time required to obtain and compile certain information required to be included in the Annual Report and the Quarterly Report. Because the information required to be included in the Annual Report and the Quarterly Report is not yet complete, the Company is unable to provide a reasonable estimate of the Company’s results of operations for the quarter ended November 30, 2022 as of the date hereof.
