The information in Item 8.01 of this report relating to the resignation of the directors of Ontrak, Inc. (the “Company,” “we,” “us” or “our”) is incorporated by reference into this Item 5.02. None of the resignations of our directors were due to any disagreement on any matter relating to our operations, policies or practices.
 
Item 8.01          Other Events.
 
On August 28, 2025, our board of directors determined to file, and approved the filing of, a voluntary petition for relief under Chapter 7 of Title 11 of the United States Code. Following such determination, all members of our board of directors resigned from our board of our directors effective immediately.
