Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 29, 2025, NETGEAR, Inc. (the “Company”) virtually held its 2025 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders of record at the close of business on March 31, 2025, voted on five proposals, each of which is described in more detail in the Proxy Statement. At the Annual Meeting, 25,361,311 shares were represented in person or by proxy, which constituted a quorum.
