Regulation FD Disclosure.

As previously announced, Contango Oil & Gas Company (the “Company” or “Contango”) entered into a definitive agreement pursuant to which an affiliate of Independence Energy, LLC will acquire all of the outstanding shares of the Company in an all-stock transaction. In connection with this transaction, the Company issued a press release announcing a special meeting to approve the transaction and the expected closing date for the transaction. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference.
