“Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers”

On July 18, 2025, Lloyd W. Howell, Jr. notified Moody’s Corporation (the “Company”) of his decision to resign from the Company’s board of directors (the “Board”), effective immediately. Mr. Howell’s resignation from the Board was not a result of any disagreement with the Company’s operations, policies or practices.
