Item 7.01.  Regulation FD Disclosure.
 
On December 31, 2025, Martin Marietta Materials, Inc. (“Martin Marietta” or the “Company”) provided an update on the anticipated timing for closing its previously announced asset exchange with Quikrete Holdings, Inc. (“Quikrete”). As announced on October 2, 2025, the Company had expected to close the transaction in the fourth quarter of 2025, subject to customary closing conditions. The Company now expects the transaction to close in the first quarter of 2026 subject to satisfaction of the remaining customary closing conditions.
