For mortgage loan #2 (230 Park Avenue South), the Appraised Value assumes that all outstanding free rent, tenant improvements and leasing commissions have been completed at the mortgaged property. Reserves were taken at close for all outstanding free rent and 75% of tenant improvements and leasing commissions. The remaining outstanding tenant improvements and leasing commissions are fully guaranteed by the Guarantor. The appraised value assuming all outstanding free rent, tenant improvements and leasing commissions are not completed is $415,000,000. The Cut-off Date LTV Ratio and LTV Ratio at Maturity or ARD based on the $415,000,000 appraised value is 60.2%.

 

For mortgage loan #5 (Storage Post Portfolio), the Appraised Value is the “as is portfolio” appraised value of the Storage Post Portfolio Properties as a whole, which is predicated on the assumption that the entire property portfolio is marketed to a single purchaser, which reflects an 8.7% premium to the aggregate “as is” appraised value of the individual properties. The aggregate “As-Is” values for the individual properties as of July 18, 2019 and July 19, 2019 is $211,600,000, which results in a Cut-off Date LTV Ratio and LTV Ratio at Maturity or ARD of 70.9%.

For mortgage loan #16 (6550 Sunset), the largest tenant (11,846 square feet), representing 40.0% of net rentable square feet, is entitled to free rent in the amount of $241,760 (for each July from 2020 through 2023 on its original and expansion premises and each March from 2020 through 2022 on the expansion premises (2,446 square feet) only), which amount was escrowed at origination. Additionally, the fourth largest tenant (4,854 square feet), representing 16.4% of net rentable square feet signed its lease in June 2019, is not yet in occupancy and is scheduled to commence paying rent no later than December 1, 2019. An amount of $70,853 was escrowed at origination for gap rent for November and December 2019.

For mortgage loan #23 (The Blvd) the largest tenant (14,512 square feet), representing 34.2% of net rentable square feet, has commenced paying rent on September 15, 2019, and is expected to open for business in October 2019.

 

For mortgage loan #37 (Starling Office), the second largest tenant (3,464 square feet), representing 9.6% of net rentable square feet, has free rent in March 2020.

In particular, with respect to (i) single tenant properties, (ii) the largest 5 tenants with respect to the largest 15 Mortgage Loans and (iii) tenants that, alone or together with affiliated tenants, occupy 50% or more of the net rentable area of, or represent 50% or more of the underwritten revenues of, the related Mortgaged Properties, certain of such tenants have unilateral termination options with respect to all or a portion of their space. See “Description of the Mortgage Pool—Tenant Issues—Lease Expirations and Terminations—Terminations” in this prospectus for additional information, as well as the charts entitled “Major Tenants” and “Lease Expiration Schedules” for the 15 largest Mortgage Loans or groups of cross-collateralized Mortgage Loans presented on Annex A-3 to this prospectus.

 

For mortgage loan #20 (144-06 94th Avenue), the largest tenant, representing 100.0% of net rentable square feet, has the right to terminate the lease, in whole or in part of at least 10,000 square feet, effective as of October 15, 2028 subject to 6 months written notice.

 

For mortgage loan #23 (The Blvd), the second largest tenant (10,078 square feet), representing 23.7% of net rentable square feet, has the one time right to terminate its lease, upon 30 days written notice, if the tenant’s sales do not exceed $2,500,000.

 

For mortgage loan #38 (2401 Linden Lane), the second largest tenant (13,313 square feet), representing 15.6% of net rentable square feet, has the right to terminate the lease effective as of October 31, 2020, or anytime thereafter, subject to 180 days written notice. The third largest tenant (7,500 square feet), representing 8.8% of net rentable square feet, has the right to terminate the lease effective as of July 31, 2021, with notice provided no later than February 1, 2021 and payment of a $40,000 fee.

 

(8)For mortgage loan #28 (Rainier Marketplace), the largest tenant (25,101 square feet), representing 35.7% of net rentable square feet, has a co-tenancy option tied to the shadow anchor, Kohl’s, operating in no less than 88,000 SF. In the event the co-tenancy requirement is triggered, the tenant is permitted to pay substitute rent equal to the lesser of minimum rent or 2% of gross sales during the preceding month for up to 12 months (“Reduced Rent Period”). At the expiration of the Reduced Rent Period, the tenant can elect to either (i) terminate the lease by providing written notice within 60 days of the expiration of the Reduced Rent Period or (ii) resume minimum rent. The Kohl’s shadow anchor is seeking to downsize its space, and has offered to lease a portion of its space that would result in the Kohl’s store being approximately 64,000 square feet, thereby triggering the co-tenancy provision. The second largest tenant (10,000 square feet), representing 14.2% of net rentable square feet, and the third largest tenant (9,952 square feet), representing 14.2% of net rentable square feet, both have co-tenancy options tied to the largest tenant. In the event the largest tenant gives notice to terminate its lease due to any co-tenancy requirements the borrower is required to provide an acceptable letter of credit, in an amount of $250,000 within fifteen days thereafter. Notwithstanding the foregoing, the co-tenancy trigger for Ross can be cured with the replacement of Kohl’s within the time period required by the Ross lease by up to three nationally or regionally recognized anchor tenants (in each case, meeting the requirements of the Ross lease and reasonably acceptable to Ross) operating in at least 85% of the 88,000 square feet.

 

(9)For mortgage loan #1 (Park Tower at Transbay), the largest tenant (755,914 square feet), representing 100.0% of net rentable square feet, has multiple expiration dates. 486,100 square feet expires February 28, 2034 and 269,814 square feet expires February 28, 2033.

For mortgage loan #37 (Starling Office), the third largest tenant (3,430 square feet), representing 9.5% of net rentable square feet, has multiple expiration dates. 2,241 square feet expires May 31, 2022 and 1,189 square feet expires November 30, 2020.

 

(10)For mortgage loan #26 (Fairfield Inn and Suites Moab), at origination the borrower deposited $409,500 into the seasonality reserve fund. In addition, the Borrower shall deposit $58,500 on each payment date occurring during the months of March through October each year.

 

(11)For mortgage loan #2 (230 Park Avenue South), in addition to $34,263,578 in cash collected at the mortgage loan closing, the sponsor borrower is required to pay the remaining tenant improvement and leasing commission obligations (“Remaining TILC Obligations”) from capital contributions from the constituent owners of the mortgage loan. The Remaining TILC Obligations are fully guaranteed by the Guarantor.
