EXPLANATORY NOTE

This Post Effective Amendment No. 1 to Citizens & Northern Corporation’s Registration Statement on Form S-4 (Registration No. 333-288838) originally filed with the Securities and Exchange Commission on July 22, 2025, and as amended by Amendment No. 1, filed on August 4, 2025, is being filed for the sole purpose of amending Exhibit 8.1, which was originally filed with Amendment No. 1 on August 4, 2025. A fully amended and restated Exhibit 8.1 is being filed herewith.
