(the “Company”) closed its offering of $400.0 million aggregate principal amount of its 3.950% Notes due 2029 and $400.0 million
aggregate principal amount of its 4.500% Notes due 2033, pursuant to a purchase agreement dated September 25, 2025 entered into by
and among the Company, Wells Fargo Securities, LLC, Barclays Capital Inc., BofA Securities, Inc., Mizuho Securities USA LLC and TD
Securities (USA) LLC, as representatives of the underwriters.
