Item 8.01    Other Events.

On July 1, 2025, U.S. Bancorp (the “Company”) announced that the Board of Governors of the Federal Reserve System (the “Federal Reserve”) has notified the Company that its preliminary Stress Capital Buffer (“SCB”) requirement is 2.6%, based on the results of the Federal Reserve’s Dodd-Frank Act Stress Test. The Federal Reserve will provide the Company with its final SCB requirement by August 31, 2025. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated into this Item 8.01 by reference.

The Company also announced that its planned capital actions include an increase in the Company’s quarterly common stock dividend from $0.50 to $0.52 per share (subject to approval by the Company’s Board of Directors), starting in the third quarter of 2025.
