Item 8.01 Other Events.

On December 14, 2021, R. R. Donnelley & Sons Company (the “Company”) issued a press release announcing that the Company has terminated its previously announced definitive merger agreement with affiliates of Atlas Holdings LLC, dated as of November 3, 2021 and amended on December 9, 2021, and has entered into a definitive merger agreement with affiliates of Chatham Asset Management, LLC (“Chatham”), pursuant to which affiliates of Chatham will acquire all the shares of the Company not already owned by affiliates of Chatham for $10.85 per share in cash. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
