Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 9, 2024, AZZ Inc. (the "Company") redeemed its 6.00% Series A Convertible Preferred Stock in full, which had been held by affiliates of Blackstone Inc. (“Blackstone”). On May 10, 2024, Mr. David M. Kaden, Blackstone’s designee to the Board of Directors (the “Board”) of the Company, notified the Board of his resignation from the Board, effective immediately. The resignation of Mr. Kaden was not the result of any disagreement with the Company, the Company’s management, or any other member of the Board.
