This SUPPLEMENTAL AGREEMENT No. 37 (SA-37) To PURCHASE AGREEMENT NO. 03735, entered into as of January 14 , 2026 (Effective Date), by and between THE BOEING COMPANY, a Delaware corporation with offices in Seattle, Washington (Boeing) and AMERICAN AIRLINES, INC. a Delaware corporation with offices in Fort Worth, Texas, together with its successors and permitted assigns (Customer);
WHEREAS, Boeing and Customer entered into Purchase Agreement No. 03735 dated February 1, 2013 relating to Boeing Model 737 MAX Aircraft, as amended and supplemented (Purchase Agreement) and capitalized terms used herein without definitions shall have the meanings specified therefore in such Purchase Agreement;

    WHEREAS, Boeing provided to Customer notice No. AAL-NM-2506297, dated December 1, 2025, [****] to Customer for [****] Aircraft, each capitalized term as defined in Letter Agreement No. AAL-PA-3735-LA-2306984 entitled “[****]” (the [****]);

WHEREAS, Customer provided notice to Boeing, on December 16, 2025, [****] Aircraft and Boeing and Customer agree to [****] such [****] Aircraft (now a [****] Aircraft (as defined in the [****])) to the following [****] (as defined in the [****]) as shown below:

    NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree that the Purchase Agreement is amended and supplemented as set forth below and otherwise agree as follows:

1.Table of Contents.
The “Table of Contents” to the Purchase Agreement referencing SA-36 in the footer is deleted in its entirety and is replaced with the new “Table of Contents” (attached hereto) referencing SA-37 in the footer to reflect changes made to the Purchase Agreement by this SA-37. Such new Table of Contents is hereby incorporated into the Purchase Agreement in replacement of its predecessor.

2.Tables.
Table 1-7.     Table 1-7 of the Purchase Agreement titled “[****] Aircraft Delivery Description, Price and Advance Payments,” is hereby deleted in its entirety and

replaced with a new Table 1-7 titled “[****] Aircraft Delivery Description, Price and Advance Payments,” attached hereto, referencing SA-37 in the footer.1
3.Letter Agreement.
3.1[****]. Letter Agreement No. AAL-PA-03735-LA-2306975R2 is hereby deleted in its entirety and replaced with Letter Agreement No. AAL-PA-03735-LA-2306975R3 (attached hereto) entitled “[****]”, (Revised [****] Letter Agreement), referencing SA-37 in the footer, to [****] (as defined in the [****]) for each of the [****] Aircraft listed in the table above and to memorialize the parties [****] in Section 2.2(iii) of the [****] related to the [****] for the [****] Aircraft. The Revised [****] Letter Agreement is hereby incorporated into the Purchase Agreement.

Letter Agreement No. AAL-PA-03735-LA-110665R16 is hereby deleted in its entirety and replaced with Letter Agreement No. AAL-PA-03735-LA-1106651R17 (attached hereto) entitled “[****]”, (Revised [****]t Letter Agreement), referencing SA-37 in the footer, to reflect the [****] of [****] ([****]) [****] in Attachment B of the Revised [****] Letter Agreement. The Revised [****] Letter Agreement is hereby incorporated into the Purchase Agreement.

Letter Agreement No. AAL-PA-03735-LA-2306974 is hereby deleted in its entirety and replaced with Letter Agreement No. AAL-PA-03735-LA-2306974R1 (attached hereto) entitled “[****]”, (Revised [****] Letter Agreement), referencing SA-37 in the footer, to reflect an administrative update. The Revised[****] Letter Agreement is hereby incorporated into the Purchase Agreement.
3.4[****]. Letter Agreement No. AAL-PA-03735-LA-1801206 is hereby deleted in its entirety and replaced with Letter Agreement No. AAL-PA-03735-LA-1801206R1 (attached hereto) entitled “[****]” (Revised [****] Letter Agreement), referencing SA-37 in the footer, to reflect an administrative update. The Revised [****] Agreement is hereby incorporated into the Purchase Agreement.

Upon execution of this SA-37, [****]. [****] for the [****] Aircraft, [****] in this SA-37, will be [****] with the [****].
5.Miscellaneous.
5.1    The Purchase Agreement is amended and supplemented as set forth above by the revised Table of Contents, Revised [****] Letter Agreement, Revised [****] Agreement, Revised [****], Revised [****] Letter Agreement and the new Table 1-7. All other terms and conditions of the Purchase Agreement remain unchanged and are in full force and effect.

5.2    References in the Purchase Agreement and any supplemental agreements and associated letter agreements to the letter agreement listed in the left column of the below table shall be deemed to refer to the corresponding revised

This letter agreement (Letter Agreement) amends and supplements the Purchase Agreement. All terms used but not defined in this Letter Agreement shall have the same meaning as in the Purchase Agreement.
1.Right to Purchase [****].
Subject to the terms and conditions contained in this Letter Agreement, in addition to the Aircraft described in [****] to the Purchase Agreement as of the date of execution of this Letter Agreement, [****] ([****]) and [****] ([****]). As of the Effective Date (as defined in Supplemental Agreement No. 34 to the Purchase Agreement (SA-34)) of SA-34 to the Purchase Agreement, there are [****].

This letter agreement (Letter Agreement) amends and supplements the Purchase Agreement. All terms used but not defined in this Letter Agreement will have the same meaning as in the Purchase Agreement.
1.Definitions.

The information contained herein represents confidential business information and has value precisely because it is not available generally or to other parties. 2.Applicability.
Notwithstanding any other provision of the Purchase Agreement, the [****] for each [****] with a [****] during the [****] will be determined in accordance with this Letter Agreement.

Reference:    Purchase Agreement No. PA-3735 (Purchase Agreement) between The Boeing Company (Boeing) and American Airlines, Inc. (Customer) relating to Model 737-8 aircraft (Aircraft)

This letter agreement (Letter Agreement) amends and supplements the Purchase Agreement. All terms used but not defined in this Letter Agreement will have the same meaning as in the Purchase Agreement.

    The terms and conditions described in this Letter Agreement are applicable only to the aircraft described in Section 1 below.

1.[****] Delivery Schedule.

This Letter Agreement [****] the Scheduled Delivery Month of [****] ([****]) Aircraft currently scheduled to deliver in calendar years [****] ([****] Delivery Aircraft) and [****] the Scheduled Delivery Months to calendar years [****]. For avoidance of doubt, [****] Delivery Aircraft remain Aircraft under the Purchase Agreement. Attachment A of this Letter Agreement identifies the [****] Delivery Aircraft by the [****] delivery month ([****] Delivery Month) and sets forth the [****] delivery month ([****] Delivery Month) for the [****] Delivery Aircraft. Additionally, Table 1-2R1 of the Purchase Agreement includes the [****] Delivery Aircraft per the revisions of this Letter Agreement.

Boeing agrees that it is [****] the delivery schedule of the [****] Delivery Aircraft.

3.Delivery [****].

3.1    The Aircraft Basic Price for each of the [****] Delivery Aircraft [****]. For the avoidance of doubt, Boeing agrees to [****] the Aircraft Basic Price for [****].

3.2    If the delivery of the [****] Delivery Aircraft [****] in the [****] Delivery Month, then [****] in accordance with and subject to the terms and conditions of the Purchase Agreement (that is, if the Purchase Agreement [****]).

3.3.    The delivery [****] for the [****] Delivery Aircraft will [****] the Aircraft Basic Price in accordance with Sections 3.1 and 3.2, above.

4.Advance Payments.

Advance Payments for the [****] Delivery Aircraft are [****] Letter Agreement AAL-PA-03735-LA-1106650R8 entitled “[****]”. The Advance Payments for the [****] Delivery Aircraft will be paid per the Advance Payment Base Price as found on Table 1-2R1 [****] as set forth in Section 3.1 of this Letter Agreement.

5.Confidentiality.

The information contained herein represents confidential business information and has value precisely because it is not available generally or to other parties. This Letter Agreement shall be subject to the terms and conditions of Letter Agreement No. AAL-PA-03735-LA-1106670R1, as may be amended from time to time, entitled “Confidentiality”.

6.Assignment.

Notwithstanding any other provisions of the Purchase Agreement, the rights and obligations described in this Letter Agreement are provided to Customer in consideration of Customer’s becoming the operator of the Aircraft and cannot be assigned, in whole or in part, without the prior written consent of Boeing, except to the extent permissible under the terms of the AGTA.
