Dear Mr. Katz:
     
I am voicing my opposition to the amendment to Rule 15c2-11, which in 
effect, Shifts the regulating and policing of Microcap stocks from the SEC 
to market makers that trade in this stock.  Potential liabilities and/ or 
lawsuits will force them out of the market, seriously affecting the 
liquidity and value of most small businesses.
     
As President of a small company, and stock holder, I feel these amendments 
are counterproductive and jeopardize my interest and potentials.
