Date: 4/6/99 3:11 PM Subject: File No. S7-5-99 As the President and CEO of a small manufacturing company, I speak for my Board of Directors and our shareholders when I voice objection to the pending rule changes that would require market makers to learn more about the stocks they trade, study the companies' financial statements and keep an eye out for fraud. For a very small company like ours it is difficult now to engage the services of market makers. Making the rules tougher will make it impossible. We have been a publicly traded company for over 35 years. If you have a problem with fraud, seek out those companies and punish them. Don't punish all of us. Respectfully, Charles J.
