Katz, Secretary Securities and Exchange Commission 450 Fifth Street NW, Washington, DC 20549-0609 Dear Secretary Katz: Thank you for your recently proposed rules regarding proxy voting disclosure by mutual funds and investment advisers, File Numbers S7-36-02 and S7-38-02. I think it is critical for investors like me to be able to find out exactly how my shares in mutual funds are being voted. It is important that the disclosure be in a standard online format so that it is easy for third parties to consolodate and compare votes from different mutual funds. This way I'll be able to find funds that vote the way I want them to. The strength of markets in a democracy is in transparency and the ability of individuals to contribute their insights and preferences. Preserving those attributes for mutual fund investors is imperative. Sincerely, Neal McBurnett http://bcn.boulder.co.us/~neal/
