Katz, Secretary Securities and Exchange Commission 450 Fifth Street NW, Washington, DC 20549-0609 Dear Secretary Katz: I'd like to submit comments pertaining to File Numbers S7-36-02 and S7-38-02. I'm writing to support the new proposed rules which would force mutual funds to disclose their proxy votes. Like millions of Americans I have the bulk of my retirement money invested in mutual funds. Openness and transparency are good things. Especially now - in light of the ongoing disclosures of billions of dollars worth of corporate scandal, fraud and malfeasance. I trust my mutual funds - I think. But as the headlines of the past year remind me, I'd just like to make sure. Sincerely,
Peter Henry
