Katz, Secretary Securities and Exchange Commission 450 Fifth Street, NW Washington, DC 20549-0609 Dear Secretary Katz: I am writing to support proposed SEC rulings (File Numbers S7-36-02 and S7-38-02), which would require disclosure by mutual funds of their proxy voting policies, procedures, and voting records. Every expert whom I have heard discussing the crisis of confidence in our stock-trading system in the past few months seems to believe that a much greater degree of transparency is needed if that confidence is to be regained. In my opinion, the above-mentioned proposed SEC rulings represent a reasonable and important step in developing that transparency.
