I am writing to urge you to adopt the proposed rule, File No. S7-36-02 
and S7-38-02, that would require mutual funds to disclose how they vote 
on key issues during the annual meetings held by the companies in which 
they hold stock.  I am a private investor and belong to a socially 
responsible investment club.  I would welcome more transparency.
