Katz, Secretary Securities and Exchange Commission 450 Fifth Street NW, Washington, DC 20549-0609 Dear Secretary Katz: I am writing in support of the Securities and Exchange Commission's recently proposed rules regarding proxy voting disclosure by mutual funds and investment advisers, File Numbers S7-36-02 and S7-38-02. As a mutual fund investor, I have an interest in seeing how my fund is casting its proxy votes and I applaud the Commission for proposing this rule which would make such disclosure mandatory. Especially in our current time of corporate scandals, it seems very important to have full disclosure of not only voting policies and procedures, but also actual voting records. I for one am interested in what sort of practices my money is supporting, and I think that proxy voting disclosure may prove to be one more tool for instituting corporate social responsibility and overall accountability. Thank you for this opportunity to comment on the proposed rules, and for taking these important steps toward restoring investor confidence in the markets. Sincerely, Annie Young-Mathews
