Date: 1/5/98 6:02 PM Subject: s7-25-97 This letter is from: Robert A. Wilkinson 1304 Albina Ave. #1 Berkeley, CA 94706 510-524-3543 home phone 510-246-5082 work phone I do not have access to the internet so I cannot get the S7 number in the subject heading at your website, sorry. The letter concerns a protest against a new rule that would allow companies to not allow their stock owning investers to force a vote on company issues that affect the environment, U.S. or overseas working conditions, and similar issues. At present small shairholders with say 1000 shairs can force a vote on these issues. Such votes have lead companies to say pull out of South Africa during the period before the change in government etc. The name of the item is "shairholder resolutions." I strongly believe these resolutions are one of the few ways we stockholders can keep some controls on the companies we have shairs in. TO: Jonathan Katz, Secretary 1. The only way small shareholders can get a voice/vote on important social environmental and other issues that are impacted by the way a company does business is by Shareholder Resolutions. 2. Historically the resolutions have been very effective in providing some oversite on both the domestic and international operations of huge companies. 3. Very few are ever used for foolish reasons. I have seen many and most were reasonable and it was helpful to bring the issues to shareholder attention. 4. Please leave the system in tact exactly as it is now. Thank You
