Date: 12/11/97 3:35 PM To whom it may concern, I would like to take a minute of your time to comment on recently proposed S.E.C. legislation 17 CFR part 240. The curtailment of resolutions which stem from "personal" concerns - such as human and environemental rights - contained in this policy places the marketplace at arm's length from the consumers who are most affected by its machinations. I am concerned that this rule change will spark massive protest in the long run which will be caustic for both the corporations protected by this proposed laws and the soveirgnty of the S.E.C. itself. The leveraged nature of the marketplace does not give itself to democracy; there is nothing hte S.E.c can do about this, but the least it can do to ensure calm amongst the employees and consumers who support publicly traded companies is to allow them room to voice organized dissent. This policy would curtail both the illusion and the reality of this possibility. Sincerely, Mark Lloyd Shorett Oxford University
