Washington, DC 20549 Regarding: File No. s7-25-97 Dear Mr. Katz: As a shareholder, I write to strongly oppose proposed changes in the rules governing shareholder resolutions. I can not understand why you would want to make it harder for shareholders to have a voice in the operations of a company. The time has come when shareholders should be able to require more from a company other than purely "making money". I find it irresponsible and unethical of yout to make it more difficult for shareholders voices to be heard and obeyed. If a company does not like what the shareholders have to say then perhaps they shouldn't be publicly traded. I request that you withdraw the proposed rule changes. Sincerely, Steven Pousty
