Shareholder resolutions have been a very important tool for company owners to bring up concerns with management. In the past 20 years, shareholder resolutions have played a leading role in establishing democratic government in South Africa and getting companies to take a hard look at pollution, discriminatory hiring practices and sweatshop conditions in overseas factories, to name just a few. In today's economy, where companies have more power than any other institution, shareholder resolutions are a powerful tool of democracy. People can vote to hold their political leaders accountable at the ballot box and company owners can vote to hold companies accountable through the shareholder resolution process. Your new rules weaken the democratic shareholder resolution process and give companies more license to make dangerous, short-term management decisions.
