Dear Mr. Katz:
     
I am writing to urge you to stop the new proposed rules (S7-25-97).  This 
destroys the ability of almost all shareholders to participate in a 
responsible shareholder resolution process.
     
I feel very strongly about this because of my interest in holding companies 
accountable.Please stop these rules from going forward.
