Date: 1/5/98 1:49 PM Subject: s7-25-97 Arthur Levitt Securities and Exchange Commission 450 5th Street, NW Washington, DC 20549 We write to inform you that we oppose rule S7-25-97. In effect this rule will prevent critical issues from being deliberated on and voted upon at open stockholder meetings. Motions and information on fair employment practices, such as practices which discriminate by sex and/or race; harassment; gender balancing of boards; the use of child labor must remain issues that can and will be brought to stockholders' attention. It is crucial that there continue to be channels through which employees, investors and customers force corporations to act responsibly when they have refused to act on their own. Thank you for including our opinion in your evaluation of rule S7-25-97. Sincerely, Kateri Caron Human Rights Office Mankato Province, School Sisters of Notre Dame
