Joy Bergey -------------------------------------------------------------------------------- Dear Chairman Levitt, I write to express strong opposition to the SEC's proposed rules S7-25-97. I am committed to socially responsible investing. I object to the rule changes and how they would severely limit the rights of shareholders to influence public corporations' behaviors. In particular I object to the changes that would severely limit the ability of small investors to file resolutions. The exercise of shareholder rights has been used to promote social justice, particularly in pressuring US corporations to disinvest in South African companies. I believe this led to an earlier end to Apartheid. Specifically, I am concerned about three pending regulation changes: - Excluding shareholder resolutions related to less than $10 million in revenue. How does one put a value on issues such as child labor, or environmental exploitation? Who decides? - A company would be able to deem that a resolution from an individual or concerned institution is a "personal grievance" and the SEC would then step aside. This would give corporations a strong arm to silence voices they doesn't want to be bothered with. - There is proposed a huge jump in votes required for shareholder resolutions to be resubmitted: 30% over a 3-year period (up from the current 10%). This is virtually unachievable, and will essentially destroy shareholder resolution campaigns. I do not want corporate management to have expanded power to exclude resolutions by small investors. American shareholders deserve better than this. Please use your power to stop these proposed rules from being enacted. Sincerely, Joy A.
