I am responding to your release and request for comments regarding a possible 
change to the proxy rules.  As an individual investor vitally concerned with 
recent governance failures in both the private and public sectors, I strongly 
urge you to amend the proxy rules to allow shareholders a greater voice in the 
election of board directors.
