Date: 12/23/1999 6:33 AM Subject: File no. S7-24-99 Dear Mr. Katz: I am thankful that companies must now comply with the new eligibility rules in order to stay on the OTCBB. Please continue moving in the right direction to protect the individual investor and the small company by maintaining the "uptick" rule and by adopting the new rule to extend the "shorting" rules to OTCBB stocks. The arguments in support of these rules are very strong and apparent. They are stated very eloquently in many of the letters you have already received on this topic so I will not repeat them here again. I implore you to do the right thing for the small investor and small company, which I think is what the Securities and Exchange Commission is there for. Thank you for your attention. Sincerely, Perry Koziris
