LAWRENCE WEST, ASSOCIATE DIRECTOR OF ENFORCEMENT, TO LEAVE COMMISSION The Commission announced today that Lawrence A. West, Associate Director of the Division of Enforcement, will leave the Commission. He will become a partner in the law firm Latham & Watkins, resident in the firm's Washington office. West, 54, joined the Commission's staff in 1994 as a staff attorney in the Division of Enforcement. He became a branch chief in 1997, an assistant director in 1999, and an associate director in March 2003. During his tenure at the Commission, he oversaw numerous cases in a wide variety of areas, including actions involving financial fraud at WorldCom, Enron, Parmalat, and many other public companies. He led several of the Commission's industry-wide investigations into illegal practices at broker-dealers, including the mutual fund fee breakpoints and yield-burning cases, and supervised investigations into a number of hedge fund frauds and Ponzi schemes. Recently he has supervised the Commission's ongoing risk-based investigations of pension accounting at public companies and practices in the auction rate securities market. "For well over a decade, Larry West has approached the work of protecting investors with energy, creativity and courage," said Linda Chatman Thomsen, Director of the Division of Enforcement. "He has brought great intellect to every investigation, and devoted countless hours to making sure we got it right. The list of the cases he brought is impressive, but not nearly as impressive as the person who brought them. It has been a great gift to work with Larry, and I, and we, will miss him very much." In announcing his plans to leave the Commission, West said, "For nearly 12 years I've been privileged to work with colleagues at the SEC who do their jobs zealously yet treat everyone fairly. This is one government agency - perhaps there are others - that does its utmost to enforce the law with intelligence and compassion. Every day of my tenure here, I've taken pride in being a member of the staff. It has been a particular pleasure to serve under and work with four exceptional directors of the Division of Enforcement: Bill McLucas, Dick Walker, Steve Cutler, and now Linda Thomsen." In 2002, West received the Commission's Stanley Sporkin Award, which recognizes those who have made "exceptionally tenacious and insightful contributions" to the enforcement of the securities laws. (Press Rel. 2005-180) RULES AND RELATED MATTERS REVISIONS TO ACCELERATED FILER DEFINITION AND ACCELERATED DEADLINES FOR FILING PERIODIC REPORTS On December 14, the Commission adopted revisions to the periodic report filing deadlines and the Exchange Act Rule 12b-2 definition of an accelerated filer. The amendments create a new category of companies called "large accelerated filers," which includes issuers with a public float of $700 million or more, and adjust the "accelerated filer" definition to include issuers with a public float of $75 million or more, but less than $700 million. Under the amendments, large accelerated filers will be subject to a 75-day Form 10-K annual report deadline for fiscal years ending before December 15, 2006 and a 60-day Form 10-K deadline for fiscal years ending on or after that date, while accelerated filers will remain subject to a 75- day Form 10-K annual report deadline next year and in subsequent years. Further, both large accelerated filers and accelerated filers will remain subject to a 40-day Form 10-Q quarterly report deadline next year and in subsequent years. The amendments also ease restrictions on the process for exiting accelerated filer status. (Rels. 33-8644; 34-52989) ENFORCEMENT PROCEEDINGS IN THE MATTER OF ORETECH, INC. On December 21, the Commission issued an Order Instituting Proceedings, Making Findings, and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Order) against Oretech, Inc. (Oretech). The Order finds that Oretech failed to comply with Section 13(a) of the Exchange Act and Rules 13a- 1, 13a-11, and 13a-13 thereunder by failing to file: (a) Form 10-KSB for the year ended June 30, 2005; (b) Forms 10-QSB for the quarters ended Dec. 31, 2004, and March 31, 2005; and (c) Forms 8-K to report certain significant events since at least Dec. 23, 2004. The Order revokes the registration of each class of Oretech's securities registered pursuant to Section 12 of the Exchange Act. Oretech consented to the issuance of the Order without admitting or denying any of the findings in this Order. (Rel. 34-52988; File No. 3-12130) COURT ORDERS CHICAGO AREA LAWYER TO PAY $640,033 IN CONNECTION WITH PONZI SCHEME The Commission announced that on December 14 the Honorable Judge Norman K. Moon, U.S. District Court Judge for the Western District of Virginia, Charlottesville Division, entered a final judgment against Kenneth G. Mason, an attorney residing in Wilmette, Illinois, for his role in a massive international Ponzi scheme orchestrated by Terry Dowdell that raised more than $70 million from investors in the U.S. and abroad. Dowdell previously pled guilty to criminal charges of securities fraud, wire fraud and money laundering stemming from this scheme. On July 21, 2004, Dowdell was sentenced to 15 years in jail for his conduct in the illegal scheme. The judgment against Mason, to which he consented without admitting or denying any of the allegations in the complaint, requires him to pay disgorgement of $540,105, plus $99,928 in prejudgment interest. This amount constitutes all of the commissions that Mason received in connection with his introduction of investors to this fraudulent program The court also imposed a permanent injunction prohibiting future violations of anti-fraud provisions of the federal securities laws, contained in Sections 17(a)(1), (2) and (3) of the Securities Act of 1933 and Sections 10b-5 of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The SEC's enforcement action, commenced on Nov. 19, 2001, arose out of a fictitious investment program that Dowdell operated through Vavasseur Corporation, a Bahamian company controlled by Dowdell. Investors in this program (the Vavasseur Program) were required to sign an investment contract with Vavasseur. The contract falsely represented that investor funds would be maintained in a bank account registered as "Vavasseur Corp. for the benefit of (Client name)," and committed Vavasseur: "to use its best efforts to achieve anticipated profits. . . in an amount equal to or exceeding Four Percent (4%) of the Client's funds under management for each week in which trading occurs. [Vavasseur] shall use its best efforts basis to cause trading of Client's funds in a minimum of forty weeks during each fifty-two week Agreement term." According to the contract, this would result in annualized gross return of 160%. As Dowdell admitted in this action, and the Court has previously found, there were no "trades" or "investments" made by Vavasseur. Instead old investors were paid their purported "profits" from new investor funds in typical Ponzi scheme fashion. In the course of perpetrating this fraud, millions of dollars of investors funds were misappropriated by Dowdell and the marketers of the Vavasseur Program. Mason introduced the first two investors into the program, one of whom was Birgit Mechlenburg, a recidivist securities law violator who had previously been sanctioned by the Securities and Exchange Commission. Mechlenburg became one of the principal marketers of the Vavasseur program, raising more than $13 million from investors in the United States and Europe. Mechlenburg was also named in this action, and the Court entered a default judgment against her in May 2003, ordering her to pay approximately $1.6 million in disgorgement plus a civil penalty. Michael, Jr.] (LR-19503) COMMISSION VOLUNTARILY DISMISSES ALL CLAIMS AGAINST FORMER OFFICERS OF TENFOLD CORPORATION The Commission announced that on December 19 the U.S. District Court for the District of Utah entered an order dismissing with prejudice all remaining claims in this action against defendants Gary D. Kennedy, Robert P. Hughes, Stanley G. Hanks and Wynn K. Clayton. The District Court's order was based upon the Commission's motion to voluntarily dismiss its claims against these defendants. Utah 2:03-CV-00442 TC)] (LR-19504) SEC OBTAINS OVER $1.8 MILLION IN A FINAL JUDGMENT AGAINST STOCK PROMOTER RICHARD SPRADLING FOR FRAUD, ILLEGAL TOUTING AND SCALPING On December 16, the Honorable John D. Bates of the United States District Court for the District of Columbia entered a final judgment against Richard Glen Spradling (Spradling), a Houston-area penny stock promoter and author of various investment newsletters and websites, including "Market News Alert" and "investmentreport.com." In its Complaint, the Commission alleged that, through his newsletters and websites, Spradling illegally touted stocks without adequately disclosing the amount and nature of his compensation. In fact, Spradling's compensation most often came from the very companies he promoted or persons associated with the companies that he promoted. The Complaint also alleged that Spradling "scalped" stocks he promoted by selling into the demand that his newsletters and website promotions created. Specifically, the Commission's Complaint alleged that between April 2001 and September 2003, Spradling promoted more than 44 penny stock issues by faxing newsletters to hundreds of thousands of individuals. The Complaint further alleged that Spradling received compensation in the form of stock for at least 36 of the penny stocks he promoted and that he sold at least 32 of the stocks during the promotion of the stock. By his conduct, Spradling yielded net proceeds of over $1.6 million. In addition, the Commission alleged in the Complaint that Spradling falsely stated that "Market News Alert is an independent research firm with paid subscribers." In fact, the production and dissemination of each newsletter was paid for by the subject company or a related promoter and Spradling's newsletter had no paid subscribers. The Complaint also alleged that Spradling disseminated fraudulent annual revenues and revenue forecasts on behalf of at least one company. The Final Judgment permanently enjoins Spradling from violating Section 17(b) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. In addition, the Final Judgment orders Spradling to pay $1,893,075.83, comprised of $1.6 million in disgorgement, $173,075.83 in prejudgment interest thereon, and a $120,000 civil penalty for Spradling's violations of the federal securities laws. The Final Judgment also permanently barred Spradling from participating in any offering of penny stocks. Richard Glen Spradling, Case No. 1:05CV01150 (JDB) D.D.C.] (LR-19505) FEDERAL COURT ORDERS EMISSION CONTROLS CORPORATION AND ITS FORMER PRESIDENT TO PAY DISGORGEMENT, PRE-JUDGMENT INTEREST, AND PENALTIES On December 5, the Honorable Judge Donald L. Graham of the U.S. District Court for the Southern District of Florida issued a Final Judgment against Emission Controls Corporation, permanently enjoining the company from future violations of the antifraud provisions of the federal securities laws. Emission Controls is a Florida corporation that claimed it developed a device to markedly improve automobile fuel efficiency while reducing harmful emissions. The Court ordered Emission Controls to pay disgorgement and pre-judgment interest totaling $343,333. Earlier, on Nov. 29, 2005, the Court also issued a Final Judgment against the company's former President and Chief Executive Officer, Syd Cooke, requiring him to pay disgorgement, pre-judgment interest, and penalties totaling $171,094. The Court had previously entered a judgment against Cooke, on Sept. 15, 2005, permanently enjoining him from violating the antifraud provisions of the federal securities laws and prohibiting him from acting as an officer or director of a public company. In its Complaint filed July 21, 2004, the Commission alleged that (1) in a December 2002 demonstration, Cooke used manipulated test results to convince a group of investors and stockbrokers that the device was capable of lowering vehicle emissions to near-zero levels, and (2) based on the test results, Cooke and Emission Controls issued a fraudulent January 3, 2003 press release falsely claiming the device could increase fuel efficiency while decreasing harmful emissions. The day that Emission Controls issued the false press release, the company's stock price rose by more than 13% and in the week following, the stock price reached an all-time high. [SEC v. Emission Controls Corporation and Syd Cooke, Case No. 04-14195-CIV- GRAHAM/LYNCH (S. D. Fla.)] (LR-19506) COURT ORDERS PERMANENT INJUNCTIONS AND PENALTIES AGAINST JAMES E. FRANKLIN AND SAMUEL WOLANYK FOR SECURITIES FRAUD On December 15, the Honorable Dana M. Sabraw, U.S. District Court Judge for the Southern District of California, entered a Final Judgment permanently enjoining James E. Franklin (Franklin) and Samuel Wolanyk (Wolanyk) from violating the antifraud and antitouting provisions of the federal securities laws in Securities and Exchange Commission v. James E. Franklin, et al., Civil Action No. 02CV0084 IEG (RBB) (S.D. Cal.). The Final Judgment also permanently enjoins Franklin from violating certain registration provisions of the federal securities laws. The Court ordered Franklin to pay $770,000 and Wolanyk to pay $50,000 in third-tier civil money penalties. On Nov. 10, 2005, a jury found that Franklin and Wolanyk had engaged in securities fraud and other violations of the federal securities laws. The SEC had charged Franklin, Wolanyk, Dieter Raabe (Raabe), and four entity defendants under their control, with operating a "pump and dump" scheme beginning in 1997. The SEC's complaint, filed Jan.14, 2002, alleged that Franklin set up an internet website, "Red Hot Stocks," to tout stocks that he would acquire cheaply (through private offerings, open market purchases and consulting fees). According to the complaint, Franklin then sold those shares after their price increased following overly optimistic and misleading "profiles" on the companies which appeared on the Red Hot Stocks website. The SEC's complaint alleged that Wolanyk operated Red Hot Stocks, authored and distributed the "profiles" and also owned and sold some of the stocks that were touted. The Final Judgment permanently enjoins Franklin and Wolanyk from violating Sections 17(a) and 17(b) of the Securities Act of 1933 (Securities Act), Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rule 10b-5. It also permanently enjoins Franklin from violating Sections 5(a) and 5(c) of the Securities Act. Previously, on Nov. 13, 2002, a final judgment of permanent injunction was entered against Raabe, who consented to the injunction, without admitting or denying the SEC's allegations. On March 13, 2003, a final default judgment was entered against one of the entity defendants, Vector Keel Ltd. On June 20, 2003, final default judgments were entered against the other entity defendants, Avalon Trust, Initial Public Offering Consultants, Inc. and Net Income. In related matters, Art H. Beroff, without admitting or denying the findings in the SEC's administrative order or the allegations in its complaint, consented to an order requiring him to cease and desist from committing or causing violations of Section 5 of the Securities Act and agreed to pay a $50,000 civil penalty. [SEC v. James E. Franklin, et al., Civil Action No. 02CV0084 IEG (RBB) (S.D. Cal.)] (LR-19507) SEC BRINGS EMERGENCY ACTION AGAINST HEDGE FUND, HMC INTERNATIONAL, LLC, AND ITS PRINCIPALS, ROBERT M. MASSIMI AND BRET A. GREBOW, TO HALT ONGOING FRAUDULENT HEDGE FUND The Commission announced today that it filed an emergency enforcement action to halt an ongoing fraud orchestrated by Robert M. Massimi and Bret A. Grebow through a hedge fund, HMC International, LLC (HMC or the Fund) (collectively, the Defendants). The Commission also charged Jaime Elliott, Massimi's wife, as a Relief Defendant. The Complaint alleges that from late 2001 to the present, Massimi, the Fund's manager, and Grebow, the Fund's trader, raised approximately $12.9 million from approximately 80 investors through a fraudulent offering of investments in HMC, and that Massimi and Grebow misappropriated more than $5.2 million of these investor funds for their own use. The Commission alleges that Massimi and Grebow materially misrepresented the Fund as a pooled investment vehicle that engaged in "low risk" day trading. Furthermore, Massimi and Grebow sent investors false monthly account statements that portrayed their investments as profitable when, in reality, Grebow was systematically looting the Fund's trading account and Massimi was continually benefiting from lucrative "profit" distributions and unauthorized expenses that he paid to himself and Grebow from new investor funds. Massimi also falsely assured investors that he was a hands-on manager, who maintained diligent oversight of the Fund's assets and trading. The Commission further alleges that, recently, as Massimi faced increasing investor concerns about the Fund's legitimacy and government inquiries into his misconduct, Massimi diverted assets to others, including the Relief Defendant, to shield them from investors and government authorities. The Complaint charges the Defendants with violating 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Complaint further charges Massimi and Grebow with violating Sections 206(1) and 206(2) of the Investment Advisers Act, and, in the alternative, Grebow with aiding and abetting Massimi's violations of the Investment Advisers Act. In its emergency enforcement action, the Commission is seeking, among other emergency relief, a temporary restraining order freezing the assets of the Defendants and certain assets of the Relief Defendant. In addition to this emergency relief, the Commission also seeks orders enjoining the Defendants, preliminarily and permanently, from committing future violations of the foregoing federal securities laws, and a final judgment ordering the Defendants and the Relief Defendant to disgorge ill-gotten gains and ordering the Defendants to pay civil penalties.
