The rules would address (1) the use of Form S-8 by shell companies and (2) the information required to be disclosed in a report on Form 8-K or Form 20- F filed when a company becomes a shell company or ceases being a shell company. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS The Commission today instituted public administrative proceedings pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act) against NetCurrents Information Services, Inc., a Delaware corporation formerly based in Beverly Hills, California, to determine whether the registration of its securities should be revoked or suspended for a period not exceeding 12 months for failure to file required periodic reports with the Commission in violation of Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder. The Division of Enforcement alleges in the Order Instituting Administrative Proceedings that NetCurrents had common stock and Series A 8.5% convertible preferred stock registered pursuant to Section 12(g) of the Exchange Act. The Division of Enforcement further alleges that NetCurrents has not filed any periodic reports with the Commission for over three years. Specifically, NetCurrents last filed an annual report on Form 10-KSB for the year ended December 31, 2000 and last filed a quarterly report on Form 10-QSB for the quarter ended September 30, 2001. A hearing will be scheduled before an administrative law judge to determine whether allegations of the Division of Enforcement contained in the Order Instituting Administrative Proceedings are true, to provide NetCurrents an opportunity to dispute the allegations, and to determine whether it is necessary and appropriate for the protection of investors to suspend for a period not exceeding 12 months or revoke the registration of the NetCurrents’ securities. (Rel. 34-52040; File No. 3-11983) SEC INSTITUTES SETTLED CEASE-AND-DESIST PROCEEDINGS AGAINST COMERICA, INC. FOR UNDERSTATING ITS ALLOWANCE FOR LOAN AND LEASE LOSSES On July 15, the Commission instituted and settled cease-and-desist proceedings against Comerica, Inc. (Comerica), a Delaware corporation headquartered in Detroit, Michigan. Comerica is a holding company for business, consumer, and investment banks with operations in the United States, Canada, and Mexico. Without admitting or denying the factual findings in the Commission’s order, Comerica consented to the issuance of a Commission cease-and-desist order that found that during the quarter ended June 30, 2002, Comerica failed to establish an appropriate allowance for loan and lease losses (ALLL) for its subsidiary Comerica Bank-California. As a result of understating the ALLL, Comerica’s net income was materially overstated for the quarter ended June 30, 2002, and not in accordance with Generally Accepted Accounting Principles (GAAP). On October 2, 2002, Comerica restated the financial statements included in its Form 10-Q for the period ended June 30, 2002. The restatement reflected that Comerica’s second quarter income before income taxes had been overstated by approximately 14.8%. Furthermore, the Commission’s order finds that Comerica failed to document its ALLL in conformity with GAAP, thus violating Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) (reporting, record keeping, and internal controls provisions) of the Securities Exchange Act of 1934 and Rules 12b-20 and 13a-13 (reporting rules) thereunder, and orders Comerica to cease and desist from committing or causing such violations. (Rel. 34-52041; AAE Rel. 2278; File No. 3-11984) COURT ENTERS PRELIMINARY INJUNCTION AGAINST JON HANKINS, TENET ASSET MANAGEMENT, LLC, AND TENET CAPITAL PARTNERS CONVERTIBLE OPPORTUNITIES FUND, LP. The Commission announced that on July 13 the United States District Court for the Southern District of New York, entered a preliminary injunction order on consent (Order) against Tenet Capital Partners Convertible Opportunities Fund, LP (Convertible Opportunities Fund), a hedge fund, its investment adviser, Tenet Asset Management, LLC (Tenet) and Tenet’s principal, Jon E. Hankins (Hankins) (collectively, Defendants). Pending a final disposition of the Commission’s enforcement action, the Order enjoins the Defendants from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and Tenet and Hankins from violating Sections 206(1) and 206(2) of the Investment Advisers Act of 1940. The Commission’s complaint, filed on June 22, 2005, alleged that the Convertible Opportunities Fund, Tenet, and Hankins concealed from investors large investment losses and were seeking to unfairly honor a redemption request at inflated values to cover up the fraud. In particular, the complaint alleged that Hankins and Tenet recently made numerous false statements to investors of the Convertible Opportunities Fund, as well as to investors in another hedge fund managed by Tenet and Hankins, Tenet Offshore Capital Partners Ltd. On June 22, 2005, the Court granted, among other emergency relief, the appointment of a temporary receiver over the Convertible Opportunities Fund and Tenet. In its enforcement action, the Commission is seeking additional relief, including orders permanently enjoining the Defendants from committing future violations of the foregoing federal securities laws, and a final judgment ordering the Defendants to disgorge ill- gotten gains, and assessing civil penalties. Wisconsin Electric proposes to acquire by lease certain electric utility assets under construction in the state of Wisconsin.
