SEC NEWS DIGEST Issue 2003-110 June 10, 2003 ENFORCEMENT PROCEEDINGS SEC SETTLES WITH INTERNET "VIRTUAL STOCK EXCHANGE" SCHEME OPERATORS, RECOUPS FULL AMOUNT OF INVESTOR LOSSES The Commission announced today that it settled its case against SG Limited (SG), an offshore entity that operated an Internet website called "StockGeneration." As part of the settlement, the defendants will pay over $1.3 million in disgorgement and penalties, which will be used to repay investors. The Commission's case was originally filed on June 9, 2000, in the U.S. District Court for the District of Massachusetts. According to the Commission's complaint, the website described the StockGeneration program as a "virtual stock exchange" in which participants could buy and sell "virtual shares" in several "virtual companies" at prices set by SG. The website stated that the share price of one company, identified as "Company #9" or the "Privileged Company," would generate a risk-free, guaranteed return of 10% per month, or 215% per year. The complaint alleged that in April 2000, SG unilaterally reduced the virtual share prices by nearly 100% and stopped honoring investors' requests to redeem their virtual shares and recover their money. The U.S. Court of Appeals for the First Circuit ruled in September 2001 that an investment in Company #9 was an investment contract, a form of security covered by the federal securities laws. Approximately 45,000 investors worldwide placed money in Company #9 and lost a total of $850,558. On May 29, 2003, the Honorable George A. O'Toole, U.S. District Judge for the District of Massachusetts, entered a final judgment by consent. Without admitting or denying the allegations in the Commission's complaint, SG and relief defendants SG Perfect and SG Trading consented to the entry of the final judgment, which permanently enjoins SG from violating federal securities laws requiring registration of securities and prohibiting fraud in connection with the offer or sale of securities. In addition, the final judgment requires SG, SG Perfect, and SG Trading to pay disgorgement in the amount of $850,558, plus pre- judgment interest. This amount represents the actual dollar loss suffered by all investors in Company #9. The final judgment also requires SG to pay a civil penalty of $471,544. The SEC will request appointment of a receiver to distribute funds to the investors in Company #9 pursuant to the Fair Fund provisions of Section 308(a) of the Sarbanes-Oxley Act of 2002. [SEC v. SG Limited, et al., USDC, District of Massachusetts, No. 00-11141-GAO] (LR-18181) JOHN POWELL, MOVIE PRODUCER AND FORMER STOCK BROKER, ARRESTED FOR LYING TO THE SEC On June 6, federal authorities arrested John R. Powell, former President of Irvine Securities, Inc. and currently a movie producer who co-owns Filmstar Productions, Inc., on a criminal complaint charging him with making false statements to the Securities and Exchange Commission. The complaint, filed on May 29, 2003, by the U.S. Attorney's Office for the Central District of California, charges Powell with making false statements to a federal agency, in violation of Title 18, United States Code, Section 1001. An affidavit filed in support of the complaint alleges that during late 2001 and 2002, Powell's attorney discussed with the Commission possible resolution of a civil case filed by the Commission against Mr. Powell and others. During the course of settlement discussions, Powell sought waiver of the amount of disgorgement and submitted two sworn financial statements, dated January 2002 and July 2002. The affidavit alleges that in each of the financial statements, Powell claimed he had no equity in his Laguna Beach house because his mortgage was exactly equal to the property's "quick sale" market value. The affidavit further alleges that when the Commission obtained Powell's credit report in approximately August 2002, the Commission learned that Powell had refinanced his Laguna Beach home in February 2002. Through that refinancing Powell borrowed $1,750,000, and received a check in the amount of $428,378.85. Powell deposited the money into the account of Filmstar Productions, Inc., a company Powell co-owns and operates. Since then, Powell has signed checks on the Filmstar account made payable to himself and others. According to the affidavit, the financial statements submitted to the Commission did not disclose that Powell had refinanced his Laguna Beach house in February 2002 to withdraw more than $428,000 in cash from the property. Nor did the financial statements disclose that Powell transferred this cash to Filmstar. Nor did they identify the transfer of money to Filmstar as a loan from Powell. On Oct. 10, 2002, in an action brought by the Commission, the U.S. District Court for the Central District of California entered an injunction prohibiting Powell from violating the securities registration and antifraud provisions of the federal securities laws, Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5. Powell, Criminal Case No. CR 03-01172, CDCA] (LR-18182) LYNN BENTLEY, WIFE OF DEFENDANT ROBERT BENTLEY DISMISSED AS RELIEF DEFENDANT On June 4, the court entered an order dismissing Lynn S. Bentley of Paoli, Pennsylvania as a relief defendant. Lynn Bentley is the wife of defendant Robert Bentley. The dismissal was the result of a comprehensive settlement involving the resolution of the Commission's claims against Mrs. Bentley as well as litigation between her and the receiver appointed by the court. The Commission filed an amended complaint naming Mrs. Bentley as a relief defendant in January 2002. In that amended complaint the Commission sought the return of funds received by Mrs. Bentley that it alleged were proceeds of fraudulent conduct by the named defendants. On Nov. 7, 2001, U.S. District Court issued a preliminary injunction and order continuing the appointment of a receiver and asset freeze against Robert L. Bentley, Bentley Financial Services, Inc. and Entrust Group. The preliminary injunction prohibits violations of the antifraud and broker-dealer registrations provisions set forth in Section 17(a) of the Securities Act of 1933 and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The order continues a freeze of the defendants' assets and the appointment of David H. Marion of the Philadelphia law firm Montgomery, McCracken, Walker & Rhoads LLP as a receiver to take control of their assets. The defendants consented to the entry of the preliminary injunction and order without admitting or denying the Commission's allegations in the action. A trial date in the action has not been set. Action No. 53-66, EDPA] (LR- 18183) PHILIP YODER CHARGED BY SEC WITH FRAUD AND REGISTRATION VIOLATIONS On June 9, the Commission announced that it filed a complaint in the U.S. District Court for the Northern District of Indiana against Philip J. Yoder, age 25, of Sarasota, Florida, for operating two schemes that defrauded approximately 85 investors of over $1.6 million. The Commission's complaint alleges from at least November 2000 through March 2001, Yoder, who lived in the Goshen, Indiana area, raised approximately $1.6 million from investors by selling two different investments, one a "prime bank" trading program and another called All the Way to the Top. In raising money, Yoder misrepresented the nature of the investments and the risk and rate of return. In addition, he did not tell investors that he would use their funds - without their permission - for his own purposes. Yoder's scheme, All the Way to the Top, raised $660,000 in investor funds over the Internet. The scheme promised guaranteed risk- free monthly returns of 40% to 50%. Additionally, Yoder raised $1.02 million for a "prime bank" trading program. This program promised risk- free guaranteed weekly returns of 100% per week for eleven months. Yoder claimed that he had successfully participated in several of these investments in the past. The complaint alleges that Yoder's claims were false. Investors never received any returns and for the most part, lost their principal. The Commission's complaint alleges that Yoder engaged in violations of the registration and antifraud provisions of the federal securities laws in connection with these schemes. The Commission seeks a permanent injunction barring Yoder from violating Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission also seeks a third-tier civil monetary penalty from Yoder and disgorgement of any ill-gotten gains. Allen Sharp)] (LR-18184) INVESTMENT ADVISOR SENTENCED TO 46 MONTHS IN PRISON The Commission and the Office of the U.S. Attorney for the Southern District of Ohio announced that on June 3, Senior U.S. District Court Judge Herman J. Weber sentenced Stephen G. Donahue, a former Cincinnati investment advisor and broker-dealer, to 46 months in prison for his conviction on charges of fraud and deceit by an investment advisor. Judge Weber also sentenced Donahue to 500 hours of community service, fined him $5,000 and ordered him to serve three years of supervised release after he is released from prison. The Commission filed its own action against Donahue and his company, Donahue Securities Inc., on Feb. 26, 2001. The Commission's complaint alleged that Donahue engaged in a 12-year scheme to misappropriate at least $6 million from at least 200 of his brokerage clients. Among other things, Donahue told clients he would deposit their funds into a tax-free bond fund. Instead, he deposited the clients' funds into personal bank accounts and used the clients' funds to pay both personal and business expenses. The Court entered an Order of Permanent Injunction against Donahue on February 26, 2001 permanently enjoining Donahue from further violating the antifraud provisions of the federal securities laws, freezing all funds belonging to Donahue or in which he held a beneficial interest and ordering Donahue to pay disgorgement and civil penalties in amounts to be determined in a separate hearing.
