SEC NEWS DIGEST Issue 2005-45 March 9, 2005 COMMISSION ANNOUNCEMENTS SPENCER BARASCH, HEAD OF ENFORCEMENT FOR THE SEC’S FORT WORTH OFFICE, TO LEAVE THE COMMISSION The SEC announced today that Spencer C. Barasch will leave the Commission in April to become a partner in the Dallas office of the law firm of Andrews Kurth LLP. For the past seven years, as the senior enforcement official in the Commission’s Fort Worth Office, Barasch has led the Commission’s enforcement program in a four state area of the Southwest. Before that, he held various other positions in the Commission, including Assistant Director in the Commission’s Southeast Office in Miami, Florida. As the enforcement head in the Fort Worth Office, Barasch, 47, directed a number of high profile SEC enforcement investigations and litigation in several areas of the securities industry. Among the more noteworthy enforcement actions he oversaw were: * major financial fraud cases involving Royal Dutch Shell, Halliburton, TV Azteca, and the Fleming Companies; * regulatory cases against AIM, Southwest Securities, First Command and HD Vest; * significant insider trading cases involving the securities of Hispanic Broadcasting Corp., AmeriCredit and Carreker Corp; and * more than 50 emergency enforcement actions involving securities scams targeting inexperienced investors, recovering close to one billion dollars for investors. Harold F. Degenhardt, head of the Commission’s Fort Worth Office, said, “Spencer Barasch has been central to Fort Worth’s significant enforcement accomplishments. The ascendancy of its enforcement program is in no small part due to his efforts. We lose, however, more than just an outstanding professional, wholly committed to the Commission’s mission, we lose a friend …he will be missed.” Stephen Cutler, Director of the SEC’s Enforcement Division, stated, “Spence’s dedication to the work of the Commission has been second to no one. (Press Rel. 2005-34) ENFORCEMENT PROCEEDINGS SEC SETTLES CHARGES AGAINST EDWARD LANDENBAUM The Commission announced today a settlement of a civil action and administrative proceeding against Edward Landenbaum (Landenbaum) of Brooklyn, New York. In the Commission’s civil action, Securities and Exchange Commission v. Precious Stones Trading Worldwide, Inc., et al., 00 Civ. 6097 (NRB) (SDNY), the Honorable Kenneth M. Karas, U.S. District Judge for the Southern District of New York, issued a Final Judgment on Consent for Edward Landenbaum, permanently enjoining Landenbaum from violations of Sections 5 and 17(a) of the Securities Act of 1933 (Securities Act) and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The civil action, filed on Aug. 16, 2000, alleged that from October 1997 to April 2000, Landenbaum participated in a fraudulent private placement of approximately $5.5 million worth of Precious Stones stock to approximately 208 investors. In the administrative proceeding before the Commission, instituted against Landenbaum on Aug. 31, 2004, the Commission issued an Order Making Findings and Imposing Remedial Sanctions Pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Order). The Order bars Landenbaum from association with any broker or dealer pursuant to Section 15(b) of the Exchange Act, and from participating in any offering of a penny stock. The Order found that permanent injunctions were entered against Landenbaum in the civil action, and that Landenbaum pleaded guilty to conspiracy to commit securities fraud and securities fraud in a parallel criminal action, U.S. v. Rapoport, et al., 00 CR 856 (SDNY). On Nov. 25, 2003, in the parallel criminal action, Landenbaum was sentenced to 24 months in prison, followed by 24 months probation, and was ordered to pay, jointly and severally with his co-defendant Igor Landenbaum, $2 million in restitution (U.S. v. Rapoport, et al., 00 CR 856, SDNY). The Commission acknowledges the assistance of the U.S. Attorney’s Office for the Southern District of New York in this matter. [SEC v. Precious Stones Trading Worldwide, Inc., et al., 00 Civ. 6097, SDNY (KMK)] (LR- 19127); (Rel. 34-51335; File No. 3-11623) ADMINISTRATIVE PROCEEDINGS AGAINST BROKER WHO PLED GUILTY TO SECURITIES FRAUD The Commission today instituted public administrative proceedings against William H. Rogers (Rogers) based upon his criminal conviction in U.S. v. William Rogers, 04-CR-00708 (JSR). In an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions (Order), the Commission simultaneously accepted Rogers’ Offer of Settlement barring Rogers from association with any broker or dealer. In an earlier administrative proceeding, the Commission previously found that Republic Securities Corp. (Republic Securities), a broker-dealer registered with the Commission, participated in a fraudulent investment scheme orchestrated by Martin Armstrong (Armstrong). Throughout the course of Armstrong’s fraudulent scheme, hundreds of millions of dollars entrusted to Armstrong by Japanese companies and deposited in special- purpose accounts at Republic Securities were dissipated as a result of Armstrong’s unsuccessful futures trading strategy and diversions to companies controlled by Armstrong. Republic Securities participated in Armstrong’s concealment of this fraud and continued solicitation of new investments by, inter alia, providing more than 200 letters concerning the net asset value of the accounts at Republic Securities. See Exchange Act Release No. 45157 (Dec. 17, 2001). The Commission found that on July 22, 2004 Rogers pled guilty to charges of, among other things, securities fraud. The criminal information to which Rogers pled guilty alleges that while working at Republic Securities, Rogers defrauded investors by means of materially false and misleading statements and omissions. Rogers consented to the issuance of the Order without admitting or denying the Commission’s findings. (Rel. 34-51345; File No. 3-11848) COURT ENTERS JUDGMENTS OF PERMANENT INJUNCTION AND OTHER RELIEF AGAINST DEFENDANTS COI SOLUTIONS, INC. n/k/a ALTERNATE ENERGY CORP. AND MELVIN LEVINE On Feb. 17, 2005, the Honorable Daniel T.K. Hurley of the U.S. District Court for the Southern District of Florida entered Judgments of Permanent Injunction and Other Relief against Defendants COI Solutions, Inc. n/k/a Alternate Energy Corp. and Melvin Levine by consent. The Judgments enjoin COI and Levine from violating Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. In addition to injunctive relief, the Judgment against Levine, provides for the imposition of a civil penalty. In its complaint the Commission charged COI, Levine and others with making materially false and misleading statements in filings with the Commission in violation of the federal securities laws. [SEC v. COI Solutions, Inc., et al., Case No. 02-80767-CIV-HURLEY/LYNCH (S.D. FL)] (LR-19125) SEC CHARGES FRANK FURINO WITH SECURITIES FRAUD The Commission today filed a civil injunctive action in the U.S. District Court for the Eastern District of New York against Frank J. Furino (Furino), a former floor clerk on the New York Stock Exchange (NYSE), alleging securities fraud. The Commission’s complaint alleges that from approximately August 2000 through December 2001, Furino provided a day trader with confidential information about unexecuted customer orders, and the day trader then traded ahead of those orders. The complaint was filed against: · Furino, 49 years old, a resident of Port Washington, New York. At all relevant times, Furino was employed by a floor broker as a clerk on the floor of the NYSE. More specifically, the complaint alleged the following. As a floor clerk, Furino had access to the purchase and sell orders of the floor broker’s customers. Furino routinely informed the day trader by telephone of the security, quantity, price, and side (buy or sell) associated with large customer orders, after the floor broker received, but before it executed, these orders. On at least 58 occasions, the day trader used the information obtained from Furino to trade ahead of the floor broker’s customers. For example, after Furino informed the day trader about a customer’s block order to purchase shares of Computer Associates International, Inc. stock on Oct. 25, 2000, the day trader bought 17,000 shares of Computer Associates stock at an average price of $28.27. Within one minute, the day trader sold the 17,000 shares of Computer Associates stock through the floor broker at $29 per share, at the same time that the floor broker’s customer’s buy order for 84,500 shares was executed. The rise in share price resulted in the day trader making a profit of approximately $12,091. Overall, the day trader made more than $300,000 from this scheme. Additionally, the day trader compensated Furino for the confidential order flow information through undisclosed cash payments (approximately $50,000) and commissions. The Commission charged Furino with violating Section 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The Commission seeks a permanent injunction against future violations of these provisions, disgorgement plus prejudgment interest, and civil penalties. The Commission expresses its appreciation to the U.S. Attorney’s Office for the Eastern District of New York and the United States Postal Inspection Service for their assistance in the investigation of this matter. [SEC v. Frank J. Furino, Civil Action No. CV 05 1259, EDNY] (LR- 19126) SEC CHARGES ZVI FUKS AND SABINA BEN-YEHUDA WITH INSIDER TRADING The Commission announced that it filed charges today in the U.S. District Court for the Southern District of New York alleging illegal insider trading in ImClone stock in December 2001 by Zvi Fuks, 68, of New York, New York, and Sabina Ben-Yehuda, 51, an Israeli citizen residing in New York, New York. The Commission’s complaint alleges that Fuks and Ben-Yehuda violated Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b- 5 thereunder when they sold shares of ImClone after receiving an illegal tip from Samuel D. Waksal, ImClone’s co-founder and CEO at the time. Specifically, the Commission’s complaint alleges that on the evening of December 26, 2001, Waksal privately learned in advance of any official notice or public announcement that the United States Food and Drug Administration (FDA) would reject consideration of ImClone’s application to approve its primary product, a cancer treatment called Erbitux. On December 27, Waksal tipped Ben-Yehuda, who then passed the news onto Fuks. That same day, while in possession of this material, non-public information, Ben-Yehuda sold over $73,000 and Fuks sold over $5 million of ImClone stock. ImClone received written notification of the FDA’s decision in the afternoon on December 28, and publicly announced the FDA’s decision in a press release at about 6:00 p.m. that day. This news prompted ImClone’s stock price to drop 16%, from $55.25 to $46.46, by the close of the next trading day, December 31. By engaging in insider trading before the public disclosure of ImClone’s disappointing news, Fuks and Ben-Yehuda illegally avoided trading losses. In its lawsuit, the Commission seeks an order permanently enjoining Fuks and Ben-Yehuda from future violations of the provisions of the federal securities laws that the Commission’s complaint charges them with violating, disgorgement of Fuks’ and Ben-Yehuda’s losses avoided plus prejudgment interest and civil penalties. The Commission previously settled a separate insider trading case against Waksal for conduct surrounding the same events as here in which Waksal consented to the entry of an order (1) holding him jointly and severally liable with his father, Jack Waksal, for disgorgement of $1,947,804, representing Jack Waksal and Patti Waksal’s losses avoided, plus prejudgment interest; (2) requiring Waksal to pay a civil money penalty in the amount of $3,017,464; (3) ordering him to pay disgorgement and prejudgment interest of $804,367, representing his daughter Aliza Waksal’s losses avoided; (4) permanently enjoining Waksal from future violations of the provisions of the federal securities laws that the Commission charged him with violating; and (5) permanently barring him from acting as an officer or director of any public company. The Commission’s investigation is ongoing. The Commission acknowledges the assistance of the U.S. Attorney’s Office for the Southern District of New York and the Federal Bureau of Investigation in the investigation of this matter. [SEC v. Zvi Fuks and Sabina Ben-Yehuda, 05 Civ. 2668 (JES) SDNY] (LR-19128) DEFAULT FINAL ORDER ENTERED AGAINST GENE GEIGER The Commission announced that on March 2 the U.S. District Court for the District of Colorado entered a default Final Order against Defendant Gene C. Geiger. On Nov. 30, 2004, the Commission filed a complaint in federal district court to collect disgorgement, prejudgment interest and civil penalties from Gene C. Geiger and Charles F. Kirby. The complaint charged that Geiger and Kirby failed to comply with the terms of a prior Commission order imposing remedial sanctions issued on Jan. 9, 2003, In the Matter of Charles F. Kirby and Gene C. Geiger, 2003 SEC LEXIS 46, (Administrative Proceeding File No. 3-9602) and upheld on appeal in Geiger v. SEC, 363 F.3d 481 (D.C. Cir. 2004). The complaint, filed pursuant to Section 21(e) of the Securities Exchange Act of 1934, asked the federal court to order Geiger and Kirby to comply with the Commission's previous Order. Since Geiger failed to answer the complaint, the final order was entered by default. By the default final order, Geiger is ordered to pay disgorgement of $14,109.21, prejudgment interest of $10,995.48, and a civil penalty of $300,000. [SEC v. Gene C. Geiger, Charles F. Kirby, Civ.
