SEC NEWS DIGEST Issue 2005-33 February 18, 2005 COMMISSION ANNOUNCEMENTS PAUL ROYE, DIRECTOR OF THE DIVISION OF INVESTMENT MANAGEMENT, ANNOUNCES INTENTION TO LEAVE THE SEC Paul F. Roye, Director of the SEC’s Division of Investment Management, announced today that he intends to leave the Commission in the coming weeks. Mr. Roye plans to pursue opportunities in the private sector. Chairman Donaldson said, “Nearly a year ago, Paul informed me that he was considering leaving the Commission. At that time, I asked him to stay in order to assist the Commission with its mutual fund reform agenda. Paul, a consummate professional with a deep sense of commitment to serving America’s investors, agreed to stay and provided invaluable guidance and input as we developed a strengthened mutual fund regulatory regime. Paul has served as head of the Division of Investment Management at a critical time in the history of the investment management industry. He will leave a strong and lasting legacy.” Mr. Roye said, “It has been an honor and a privilege to serve America’s investors as the Director of the Division of Investment Management. In addition, it has been a distinct privilege to serve under Chairman Donaldson, as well as former Chairmen Pitt and Levitt and Acting Chairman Unger, and to work with a distinguished group of Commissioners. I will miss my talented and dedicated colleagues in the Division of Investment Management as well as others throughout the Commission who, particularly during the challenges of recent months, have given their all to serve and protect America’s investors.” Mr. Roye became the Director of the Division of Investment Management in 1998. As Director, Mr. Roye was at the forefront of the development of regulatory policy for investment advisers and investment companies, including mutual funds, exchange traded funds, closed-end funds, business development companies, unit investment trusts and variable insurance products. In addition to implementing the Commission’s recent reforms of the mutual fund industry, Mr. Roye’s tenure featured a number of major Commission initiatives in the Investment Management area, including: · Strengthening the corporate governance regime for mutual funds; · Enhancing ethical standards for funds and investment advisers; · Requiring that funds and advisers adopt comprehensive compliance policies and procedures and designate a chief compliance officer; · Improving disclosure of fund fees and expenses, conflicts, portfolio holdings, after-tax performance, proxy voting policies and portfolio manager information; · Mandating SEC registration of hedge fund advisers and publishing a staff study of the hedge fund industry; · Developing an on-line registration and public disclosure system for investment advisers; · Adapting Sarbanes-Oxley reforms to the mutual fund industry; · Modernizing the mutual fund advertising rules; and · Analyzing historical trends in mutual fund fees and publishing a staff study on fund fees. Prior to becoming Director of the Division of Investment Management, Mr. Roye, was with the law firm Dechert LLP, which he joined in 1982 and where he became a partner in 1987. Before joining Dechert, Mr. Roye began his career in the Division of Investment Management where he worked from 1979 to 1982. Mr. Roye received his A.B. cum laude from Dartmouth College and his J.D. from the University of Michigan Law School where he was Note and Comment Editor of the University of Michigan Journal of Law Reform. (Press Rel. 2005-18) COMMISSION SUSPENDS TRADING IN 21ST CENTURY TECHNOLOGIES, INC. The Commission announced the temporary suspension of trading of the securities of 21st Century Technologies, Inc. (21st Century) (stock symbol TFCY), commencing at 9:30 a.m. EST on Feb. 18, 2005, through 11:59 p.m. EST, on March 4, 2005. The Commission temporarily suspended trading in 21st Century’s securities because of questions that have been raised about the accuracy of publicly disseminated information concerning, among other things, the valuations assigned to certain purported assets of 21st Century in the company’s most recent Quarterly Report on Form 10-Q and in other filings with the Commission. The Commission cautions broker-dealers, shareholders, and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by 21st Century. Further, brokers and dealers should be alert to the fact that, pursuant to Rule 15c2-11 under the Exchange Act, at the termination of the trading suspension, no quotation may be entered unless and until they have strictly complied with all of the provisions of the rule. If any broker or dealer has any questions as to whether or not he has complied with the rule, he should not enter any quotation but immediately contact the staff of the Securities and Exchange Commission in Washington, DC. (Rel. 34- 51226) ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST L. VAN STILLMAN On February 17, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Making Findings, and Imposing Remedial Sanctions (Order) against L. Van Stillman. The Order finds that on Feb. 2, 2005, Stillman was enjoined from violating Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, and aiding and abetting violations of Section 13(a) of the Exchange Act and Rule 12b-20 and 13a-11 thereunder by the United States District Court for the Northern District of Texas [SEC v. 2DoTrade, et al., 3:03-CV2246N]. The Commission’s complaint alleged that Stillman and others engaged in a “pump and dump” scheme designed to inflate 2DoTrade’s stock price. Between at least June and November 2001, the defendants, among other things, issued materially false and misleading press releases claiming that 2DoTrade had entered into several large international trading contracts and had developed an anti-anthrax compound. During the same period, the defendants sold shares of 2DoTrade stock for illegal trading profits of at least $1.8 million. Stillman was 2DoTrade’s counsel. Based on the injunction in the civil action above, the Order suspends Stillman from appearing or practicing before the Commission as an attorney. Stillman consented to the issuance of the Order without admitting or denying findings, except he admitted the entry of the injunction. (Rel. 34-51218; File No. 3-11835) BREAN MURRAY & CO., INC, BROKER-DEALER, SETTLES CHARGES RELATED TO LATE TRADING OF MUTUAL FUNDS On February 17, the Commission issued an Order Instituting Administrative and Cease-and-Desist Proceedings, Making Findings, and Imposing Remedial Sanctions and a Cease-and-Desist Order Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 9(f) of the Investment Company Act of 1940 (Order) against Brean Murray & Co., Inc. (Brean Murray or the firm). Brean Murray, located in New York City, has been registered with the Commission as a broker-dealer since 1973. Brean Murray consented to the issuance of the Order without admitting or denying any of the findings. The Order finds that until his death in December 2003, Anthony Brean Murray, who established the firm, was the Chairman, President and Chief Executive Officer of Brean Murray. From August 2001 through September 2003, Brean Murray, on behalf of Canary Capital Partners LLC (Canary) and at least four other hedge fund customers, accepted and executed more than 3,500 trades in dozens of mutual funds after 4:00 p.m. Eastern Time, the time as of which those funds calculated their respective Net Asset Value (NAV). Brean Murray received and executed through its clearing broker the overwhelming majority of these trades after 5:00 p.m. This practice, also known as “late trading,” violated Rule 22c-1 under the Investment Company Act. The Order also finds that in August 2001, at the request of Canary, Brean Murray began entering mutual fund trades directly into its clearing broker’s platform as late as 5:45 p.m., but almost always after 4:00 p.m. ET. Shortly thereafter Brean Murray started entering late trades on behalf of its other hedge fund customers. Based on the above, the Commission censured Brean Murray, and ordered Brean Murray to cease and desist from committing or causing any violations and any future violations of Rule 22c-1 under the Investment Company Act, to pay a civil penalty in the amount of $150,000, and to comply with certain specified undertakings. (Rels. 34-51219; IC-26761; File No. 3-11836) CIVIL ACTION AGAINST ROBERT PREVETT, ET AL. The Commission today announced it has obtained a judgment against Robert J. Prevett (Prevett) ordering disgorgement of ill-gotten gains, imposing an injunction against future violations, and imposing civil penalties for illegal insider trading in the securities of nVidia Corporation. On Dec. 16, 2003, U.S. District Court Judge James Ware entered final judgment for the Commission by permanently enjoining and restraining Prevett from violating Section 10(b) of the Securities Exchange Act, 15 U.S.C. § 78j(b), and ordering Prevett to disgorge illegal profits plus prejudgment interest in the total amount of $401,032, and pay a civil penalty of $300,000 pursuant to Section 21A of the Securities and Exchange Act of 1934, 15 U.S.C. § 78u-1 in light of Prevett’s willful conduct. As described in the Commission's filings and/or the Court’s Dec. 16, 2003 order, on Sunday, March 5, 2000, nVIDIA and Microsoft entered into an agreement providing for nVIDIA to design and manufacture the 3D computer graphics and multimedia sub-system for Microsoft's planned video game console, the X-Box. That evening, nVIDIA's president and chief executive officer sent an email entitled "X is Ours!" to all nVIDIA employees, informing them of the agreement and its huge revenue impact on nVIDIA. The next morning, March 6, nVIDIA's vice president of marketing sent an email to all nVIDIA employees entitled "xbox shhhhhh...", reminding them that news of the X-Box agreement was confidential. On the morning of March 6, 2000, after reading both emails, Prevett purchased 10,000 shares of nVidia stock on the open market at a total price of $629,768. From March 7 through March 9, 2000, nVIDIA's share price soared, as rumors about the X-Box contract circulated on the Internet and in the press. After Microsoft announced the X-Box agreement to the public on the morning of March 10, 2000, nVIDIA shares continued to rise, closing that day at $118 per share, more than twice the closing price on March 6. The Commission filed its lawsuit against Prevett on Nov. 19, 2001. A criminal proceeding, which resulted in a conviction, was also filed against Prevett at the same time. In its civil suit, the Commission named Prevett, his then girl friend, Wendy Goody, and her father, Clifford Goody, as defendants. In July 2003, a civil jury found that Prevett had violated Section 10(b) of the Exchange Act by purchasing 10,000 nVIDIA shares on March 6, 2000, while possessing material non-public information. The jury did not find, however, that Prevett tipped material non-public information to Wendy Goody or that Wendy Goody traded upon or tipped material nonpublic information. The jury also failed to find that Clifford Goody traded upon material non-public information. The Commission filed lawsuits against sixteen individuals, including Prevett, for trading in nVidia securities in March 2000 prior to the public announcement of the X-Box contract. At the current time, only the civil litigation against Atul Bhagat is still pending. [SEC v. Robert J. Prevett, et al., Civil Case No. C-01-21069] (LR-19091) PETER WILSON ENJOINED AND ORDERED TO PAY DISGORGEMENT IN SEC FRAUD ACTION RELATING TO IMPERSONATING NASDAQ AND AMEX OFFICIALS The Commission today announced that on February 14 the U.S. District Court for the Northern District of Ohio entered final judgment against Peter J. Wilson. Wilson settled SEC charges by consenting to the entry of a final judgment permanently enjoining him from violating the antifraud provisions of the Federal securities laws, ordering him to pay disgorgement and prejudgment interest, and imposing a personal trading ban against him. The Commission filed the complaint in this action on Nov.18, 2004, charging that Wilson sought to manipulate the price of stocks he traded and illegally obtained material, non-public information from public companies by impersonating officials from the NASDAQ Stock Market and the American Stock Exchange. The Commission’s complaint further alleged that Wilson illegally attempted to drive down the share price of at least one issuer’s stock by posting false and misleading information regarding that issuer on internet message boards. Pursuant to the settlement, Wilson, without admitting or denying the allegations in the complaint, consented to the entry of a final judgment permanently restraining and enjoining him from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act), and Exchange Act Rule 10b-5; ordering him to pay disgorgement together with prejudgment interest of $22,000; and permanently restraining and enjoining him from, directly or indirectly, trading in securities, other than securities issued by registered open- end investment companies. In a related criminal case, Wilson pleaded guilty on Jan. 13, 2005, to an information charging him with one count of securities fraud and one count of making false statements to the Commission during its investigation of this scheme, both felonies. His sentencing is scheduled for April 5, 2005. [SEC v. Peter J. Wilson, Civ. Action No. 1:04CV2290, ND Ohio] (LR-19092) SEC VOLUNTARILY DISMISSES CHARGES AGAINST REMAINING DEFENDANTS IN PENNY STOCK FRAUD The Commission today voluntarily dismissed charges pending in the U.S. District Court for the Southern District of New York against Joseph V. Pignatiello (J. Pignatiello), Constance Pignatiello (C. Pignatiello), James Manas (Manas), John Fasano (Fasaon), and Peter Joseph Mazzeo (Mazzeo) (collectively, the Defendants). The Commission determined that the public interest in bringing this action has already been served due to criminal convictions of, and injunctions entered against, the Defendants as a result of their fraudulent actions. This case arose from the Commission’s complex and extensive investigation into widespread misconduct in the over-the-counter market for “penny stocks” or “microcap” securities. In December 1997, the Commission filed a complaint in the Southern District of New York against the Defendants and two other individuals, alleging violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder based on the manipulation of Spaceplex Amusement Centers International, Ltd., Inc. (Spaceplex) and America’s Coffee Cup, Inc. (Coffee Cup). Subsequently, the Coffee Cup portion of the original action was severed from the main action, transferred to federal court in Denver, and was recently resolved (Denver Action). The Spaceplex portion of the original action remained as SEC v. Pignatiello et al., 97 Civ. 9303 (SWK) (S.D.N.Y.) (New York Action). There was also a parallel criminal proceeding based the manipulation of Spaceplex, and, as a result, the Commission’s civil action was stayed. All of the Defendants have been sanctioned as a result of their conduct. Specifically: (a) J. Pignatiello and Fasano, who were charged as direct violators in the New York Action, were criminally convicted in the Spaceplex criminal proceeding and received substantial prison sentences and onerous restitution orders; (b) Manas, who was also charged as a direct violator in the New York Action, cooperated in the criminal proceeding and pled guilty; and (c) the Commission obtained an injunction against Mazzeo in the Denver Action and dismissed its claims against C. Pignatiello and J. Pignatiello on the ground that they were already subject to an injunction and a substantial monetary judgment in a different Commission action (SEC v. Chester Holdings, Ltd., No. CIV. A. 97-1654 (MTB), 41 F. Supp. 2d 505, D.N.J.). Based on the relief entered against the Defendants, the Commission has decided to voluntarily dismiss this action because the public interest in bringing this action originally has already been served as a result of various sanctions imposed on the Defendants.
