SEC NEWS DIGEST Issue 2005-29 February 14, 2005 ENFORCEMENT PROCEEDINGS IN THE MATTER OF GARY PADO, CPA On February 11, the Commission issued an Order of Forthwith Suspension Pursuant to Rule 102(e) of the Commission’s Rules of Practice. The Order finds that Gary F. Pado, a certified public accountant, pleaded guilty to one count of conspiracy to commit securities fraud in violation of 18 U.S.C. § 371, a felony, and that, on Oct. 27, 2004, judgment was entered against him in U.S. v. Pado, Case No. CR 02-0135 SI, Pado consented to the issuance of the Order without admitting or denying its findings. Based on the above, the Order suspends Pado forthwith from appearing or practicing before the Commission. (Rel. 34-51191; AAE Rel. 2184; File No. 3-11820) PROCEEDINGS INSTITUTED AGAINST GREENTECH USA, INC., INFORMATION ARCHITECTS CORPORATION AND TEKRON, INC. FOR FRAUDULENT FILINGS On February 11, the Commission instituted separate administrative proceedings pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Exchange Act) against three issuers to determine whether it is necessary and appropriate for the protection of investors to suspend or revoke the registration of their securities. The proceedings are against the following issuers: * Greentech USA, Inc. of Fort Lauderdale, Florida * Information Architects Corporation of Fort Lauderdale, Florida * Tekron, Inc. of Arva, Ontario. In each Order Instituting Proceedings (Order), the Division of Enforcement alleges that the issuer failed to comply with Section 17(a) of the Securities Act of 1933 and Sections 10(b) and 13(a) of the Exchange Act and Rules 10b-5, 12b-20, 13a-1 and 13a-13 thereunder, by filing an annual report containing an auditor’s report not prepared or issued by the auditors identified and by filing quarterly reports containing balance sheets comparing the current quarters with the year- end balance sheet and designating the year-end period as “audited,” when, in fact, it was not. In each of these proceedings, a hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide the respondent an opportunity to dispute the allegations, and to determine whether it is necessary and appropriate for the protection of investors to suspend or revoke the registration of the respondent's securities. PROCEEDINGS INSTITUTED AGAINST INVESTMENT TECHNOLOGY, INC. On February 11, the Commission instituted administrative proceedings against Investment Technology, Inc., of Las Vegas, Nevada, seeking to determine whether it is necessary and appropriate for the protection of investors to suspend or revoke the registration of Investment Technology’s securities. In the Order Instituting Proceedings, the Division of Enforcement alleges that the registrant failed to comply with the reporting provisions of the federal securities laws by failing to file any mandatory annual and quarterly reports since it filed its Form 10-Q for the quarter ending March 30, 2002. The Division further alleges that from at least January 2002 through at least April 2002, Investment Technology failed to comply with Section 10(b) of the Exchange Act and Rule 10b-5 thereunder in connection with a fraudulent scheme to manipulate the securities of Investment Technology. An administrative law judge will schedule a hearing to determine whether the allegations are true and whether to suspend or revoke the registration of the securities of Investment Technology. The Commission directed that an administrative law judge shall issue an initial decision not later than 120 days from the date of service of the Order Instituting Proceedings. (Rel. 34-51194; File No. 3-11824) COMMISSION REVOKES REGISTRATIONS OF SECURITIES OF DIGI LINK TECHNOLOGIES, INC. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On February 14, the Commission revoked the registration of each class of registered securities of Digi Link Technologies, Inc. (DGLT) for failure to make required periodic filings with the Commission. Without admitting or denying the findings of the order, except as to jurisdiction, which it admitted, DGLT consented to the entry of an order finding that it had violated Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of DGLT’s securities pursuant to Section 12(j) of the Exchange Act. Brokers and dealers should be alert to the fact that Exchange Act Section 12(j) provides, in pertinent part, as follows: No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked . . . . FOR FAILING TO PRESERVE E- MAIL The Commission today instituted and settled public administrative and cease-and-desist proceedings against J.P. Morgan Securities Inc. (JPMSI), a subsidiary of JPMorgan Chase & Co. These proceedings, which were brought simultaneously with settled NASD, Inc. and New York Stock Exchange, Inc., proceedings, were based upon violations of the record- keeping requirements of the federal securities laws. The Commission’s order found that during the period from 1999 to 2002, JPMSI failed to preserve its business-related e-mail for the required three year period. The order also found that the firm lacked adequate systems or procedures for the preservation of electronic mail communications. The Commission ordered JPMSI to cease and desist from committing or causing any violation or future violation of Section 17(a) of the Securities Exchange Act of 1934 and Rule 17a-4 thereunder, censured the firm, and ordered the firm to comply with undertakings to establish e- mail retention procedures that comply with the record-keeping requirements of the federal securities laws and the rules of NASD and the New York Stock Exchange. The Commission also ordered JPMSI to pay a penalty of $700,000. JPMSI consented to the entry of a cease-and-desist order against it without admitting or denying the Commission’s allegations. In the related NASD and NYSE proceedings, JPMSI also agreed to pay $700,000 to the New York Stock Exchange and $700,000 to NASD, for a total payment to the three regulators of $2.1 million. (Rel. 34-51200; File No. 3-11828) IN THE MATTER OF GE INVISION, INC. (FORMERLY KNOWN AS INVISION TECHNOLOGIES, INC.) The Commission charged InVision Technologies, Inc. (InVision), a Newark, California-based manufacturer of explosive detection machines used in airports, with authorizing improper payments to foreign government officials in violation of the Foreign Corrupt Practices Act (FCPA). Simultaneous with the filing of the Commission’s charges InVision agreed, without admitting or denying the charges, to disgorge $589,000 in profits from its FCPA violations plus prejudgment interest of approximately $28,700, and pay a $500,000 civil penalty. InVision was acquired in December 2004 by the General Electric Company, and now operates under the name GE InVision, Inc.; the conduct charged by the Commission occurred prior to the acquisition. In both a federal court complaint and an administrative order, the Commission charged that from at least June 2002 through June 2004, InVision employees, sales agents and distributors pursued transactions to sell explosive detection machines to airports in China, the Philippines and Thailand. According to the Commission, in each of these transactions, InVision was aware of a high probability that its foreign sales agents or distributors made or offered to make improper payments to foreign government officials in order to obtain or retain business for InVision. Despite this, InVision allowed the agents or distributors to proceed on its behalf, in violation of the FCPA. The Commission also charged that InVision improperly accounted for certain payments to agents or distributors and failed to have an adequate system of internal controls to detect and prevent violations of the FCPA. The Commission’s administrative order finds that InVision violated the anti-bribery, books and records and internal controls provisions of the FCPA (respectively, Sections 30A, 13(b)(2)(A) and 13(b)(2)(B) of the Securities Exchange Act of 1934). Without admitting or denying liability or the Commission’s findings, InVision agreed to pay disgorgement and prejudgment interest, cease and desist from violations of the FCPA, and comply with its undertakings to retain an independent consultant to ensure that InVision adheres to a corporate compliance program designed to detect and prevent violations of the FCPA. In the district court action, which alleges the same violations, InVision agreed to settle the charges, without admitting or denying liability, and pay a civil penalty. AND ITS FORMER CONTROLLER IN CONNECTION WITH REPORTING, BOOKS AND RECORDS, AND INTERNAL CONTROLS FAILURES; CHARGES FORMER CFO AND GENERAL COUNSEL WITH SECURITIES FRAUD On February 14, the Commission announced the entry of a cease-and-desist order against FFP Marketing Company, Inc. (FFP), a Fort Worth, Texas- based owner and operator of convenience stores and gas stations; its former controller, Warner Williams; and its former chief financial officer and general counsel, Craig Scott. In the Order, the Commission finds that FFP violated, and Williams caused FFP to violate, the periodic reporting, record-keeping and internal controls provisions in Section 13 of the Securities Exchange Act of 1934 (Exchange Act) and rules thereunder, due to a series of book-keeping errors that led, in June 2002, to the restatement of FFP’s financial statements for 1999, 2000, and the first three quarters of 2001. The Commission also finds that Scott violated the antifraud provisions in Section 10(b) of the Exchange Act and Rule 10b-5 thereunder; and FFP violated, and Scott aided and abetted and caused FFP to violate, the reporting requirements in Rules 12b-20 and 12b-25 under the Exchange Act, when Scott filed a false and misleading notice of late filing on April 1, 2002. The notice of late filing failed to disclose the reasons for the company’s failure to file the company’s 2001 Form 10-K on time, and misrepresented the reasons for a loss that the company expected to report for 2001. FFP, Williams, and Scott settled the cease-and-desist proceedings by consenting to the entry of the Order, which requires that FFP and Scott cease and desist from committing or causing, and that Williams cease and desist from causing, violations of the foregoing provisions of the securities laws. The Commission also announced the institution of proceedings, under Rule 102(e) of the Commission’s Rules of Practice, against Scott, a licensed attorney and accountant, based on Scott’s willful violation of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and his willfully aiding and abetting and causing FFP’s violations of Rules 12b-20 and 12b- 25 under the Exchange Act. Scott settled the Rule 102(e) proceeding by agreeing to the entry of an Order finding that he violated those provisions of the securities laws and denying him the privilege of appearing or practicing before the Commission as an attorney or as an accountant, with the right to apply for reinstatement after three years. The Commission also announced the filing of a civil action against Scott in U.S. District Court in Dallas, alleging that Scott violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and that Scott aided and abetted FFP’s violations of Rules 12b-20 and 12b-25 under the Exchange Act. Scott settled the federal court action by agreeing to the entry of a final judgment requiring him to pay a civil money penalty of $25,000. [SEC v. Craig Scott, Civil Action No. 3-05 CV 0302 P, USDC NDTX] (LR-19077); (Administrative Proceeding - Rel. 34-51198; AAE Rel. 2185; File No. 3-11826) TEMPORARY RESTRAINING ORDER AND ASSET FREEZE ENTERED AGAINST MARION SHERRILL The Commission announced that the Honorable Beverly B. Martin, U.S. District Judge for the Northern District of Georgia, entered an Order on February 10 temporarily restraining Marion D. Sherrill (Sherrill) from violating the antifraud provisions of the federal securities laws. The Order also freezes his assets. The Commission’s complaint, filed February 9, alleges that, from approximately May 2003 through as recently as Jan. 26, 2005, Marion D. Sherrill, a recidivist securities law violator, perpetrated a Ponzi scheme, selling over $400,000 of promissory notes to at least nineteen investors. While engaging in this Ponzi scheme, Sherrill was a registered representative of an Atlanta-based broker-dealer. The investors who purchased promissory notes were all brokerage customers of Sherrill and many were retired. Under the terms of these notes, Sherrill “borrowed” from his investors principal amounts ranging from $4,400 to $41,000, in exchange for a promise that he would pay monthly interest of 10% per annum and return to them the note’s principal at the end of the note’s term—a period of either twelve or twenty-four months. Sherrill told some of these investors that he would invest their money in his brokerage business in order to expand its operations. Sherrill told at least one customer that he would invest her money in a “tax-free mutual fund,” from which she would get monthly tax-free income. Contrary to his representations, Sherrill did not use investor funds to expand his business operations or to purchase mutual funds. Instead, he deposited most, if not all, of the note proceeds in his personal bank account, commingled those proceeds with his own money, and paid his living expenses and various operating expenses of his business from the balance. Sherrill did not disclose to the investors that he paid their monthly interest by using money from new investors and that lacked the capacity to repay the principal without raising new investments. The Commission’s complaint seeks to permanently enjoin Sherrill from further violations of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission also seeks an accounting by Sherrill, disgorgement of all ill-gotten gains from the illegal conduct with prejudgment interest, and civil penalties. [SEC v. Marion D.
