Commission announcementsElaine C. Greenberg to Leave Commission After More Than 25 YearsThe Securities and Exchange Commission (Commission) today announced that Elaine C. Greenberg, Chief of the Enforcement Division's Municipal Securities and Public Pensions Unit and Associate Director of the Philadelphia Regional Office, is leaving the agency after more than 25 years of service.Ms. Greenberg will step down at the end of July for the private sector. She has served in dual roles at the SEC for the past three and a half years, leading the Municipal Securities and Public Pensions Unit since its creation in January 2010 and heading the Philadelphia Regional Office's enforcement program since December 2006. "Elaine's leadership of the unit and her efforts on behalf of investors have been groundbreaking and have had a tremendous impact on the behavior of participants in the municipal securities and public pensions markets," said SEC Commissioner Elisse B. Walter, who led the Commission's recent review of the municipal securities market. "Elaine has had a distinguished career at the SEC and the depth and breadth of her knowledge and experience is impressive. Through her expert lawyering, creativity and tenacity, she has made major contributions to the agency by bringing numerous significant enforcement actions," said Andrew J. Ceresney, Co-Director of the SEC's Enforcement Division. Ms. Greenberg said, "I have been very fortunate to have served alongside such talented and dedicated colleagues over these many years and am proud and appreciative of our collective achievements on behalf of the nation's investors and the securities markets." The Municipal Securities and Public Pensions Unit, comprised of staff in ten SEC offices, oversees enforcement in the $4 trillion municipal securities market and the $3 trillion public pension market. As the unit's inaugural Chief, Ms. Greenberg determined its objectives, recruited, selected, and trained staff members, set priorities, and established five areas of focus -- offering and disclosure fraud, tax and arbitrage-driven fraud, pay-to-play and public corruption violations, public pension accounting and disclosure violations, and valuation and pricing fraud. ENFORCEMENT PROCEEDINGSCommission Settles with Dennis Bukantis in Gold Mining Offering Fraud CaseThe Commission today announced that it has obtained a Final Judgment against defendant Dennis Ashley Bukantis (Bukantis) in district court litigation in which the SEC alleged the unlawful sale of securities in a gold mine investment scheme. According to the SEC's Complaint, Bukantis participated as a broker in the offer and sale of so-called "royalty units" by 3 Eagles Research & Development LLC (3 Eagles") without being registered as a broker or dealer and without being associated with a registered broker or dealer.On July 17, 2012, the SEC filed a Complaint alleging that Harry Dean Proudfoot III and two of his children, Matthew Dale Proudfoot and Laurie Anne Vrvilo, raised $2.7 million from approximately 140 investors in 23 states through 3 Eagles. The SEC's complaint charged 3 Eagles, Harry Proudfoot, Matthew Proudfoot and Laurie Vrvilo with violations of Sections 5(a), 5(c) and 17 (a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5(a), (b) or (c) thereunder and charged Bukantis with violating Section 15(a)(1) of the Exchange Act by selling securities as a unregistered broker. In his Consent to the Final Judgment, Bukantis agreed, without admitting or denying the Complaint's allegations, to the entry of a permanent injunction prohibiting his future violation of Section 15(a)(1) of the Exchange Act. Based upon the financial information submitted by Bukantis to the SEC, the Final Judgment waives the collection of $165,000 in disgorgement, plus prejudgment interest, from Bukantis and does not impose any civil monetary penalties against him. Based upon the Court's entry of the permanent injunction against him, Bukantis also consented to the SEC's entry of an order prohibiting him under Section 15(b)(6)(A) of the Exchange Act from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization and from participating in the offering of penny stocks. The SEC's case is still pending against 3 Eagles, which has defaulted in the litigation, and against Harry Proudfoot, who has filed an answer in the litigation. In March 2013, the Commission settled its claims against Matthew Proudfoot and Laurie Vrvilo. Oregon, filed July 17, 2012)] (Rel. 34-69808; File No. 3-15361) Commission Files Charges in Investment Scheme Involving Company Promoting Purported Alzheimer's TreatmentThe Commission today announced that it filed a civil lawsuit against Nevada corporation Your Best Memories International Inc. and its president, Robert Hurd, of Los Angeles, California, for misleading investors in Your Best Memories about how their funds would be used and for making misleading statements that one of the products touted to investors had received approval from the U.S. Food and Drug Administration as a treatment for Alzheimer's Disease. Also charged was Kenneth Gross, of Porter Ranch, California, for selling Your Best Memories stock without being registered as a broker-dealer as required by the federal securities laws. According to the SEC's complaint, Your Best Memories purportedly was in the business of raising money from investors on behalf of Moving Pictures, Inc., a Massachusetts-based company in the business of developing products intended to improve memory function in individuals suffering from Alzheimer's disease, dementia or memory loss. The complaint alleges that, in total, Your Best Memories raised approximately $1.2 million from more than 50 investors in an offering of securities that was not registered with the SEC as required under the federal securities laws. Specifically, the complaint alleges that investors were told by Hurd and Your Best Memories that their funds would, in large part, fund the development and marketing of Moving Pictures' memory enhancing products. According to the complaint however - unbeknownst to investors and contrary to Hurd and Your Best Memories' representations - a mere 17% of the funds raised by Your Best Memories was forwarded to Moving Pictures for their intended purposes. The SEC alleges that Hurd funneled at least 37% of investor funds to himself, by transferring money to another of his companies, Smokey Canyon Financial, Inc., or simply by making cash withdrawals of investor funds. The SEC named Smokey Canyon as a relief defendant, alleging that it was unjustly enriched by its receipt of investor funds. The SEC also alleges that Hurd and Your Best Memories further defrauded investors by making Ponzi payments (using investors' principal to make payments purporting to be investment returns to other investors) and that Hurd and Your Best Memories misled investors by falsely stating that they had secured FDA approval to sell coconut oil as a treatment for Alzheimer's disease, when in fact the FDA never approved such a claim. The SEC's complaint charges Hurd and Your Best Memories with violations of Sections 5(a) and (c) and 17(a) of the Securities Act of 1933 as well as Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5, and charges Hurd with aiding and abetting violations by Your Best Memories of Section 17(a)(2) of the Securities Act as well as with control person liability under Section 20(a) of the Exchange Act. The complaint also charges Gross with violations of Sections 5(a) and (c) of the Securities Act and Section 15(a) of the Exchange Act. The SEC is seeking permanent injunctions, disgorgement of ill-gotten gains with prejudgment interest and civil penalties against Your Best Memories, Hurd and Gross.
