Commission announcementsCommission Suspends Trading in the Securities of Four Issuers for Failure to Make Required Periodic Filings The Securities and Exchange Commission (Commission) announced the temporary suspension of trading in the securities of the following issuers, commencing at 9:30 a.m. EDT on May 23, 2013 and terminating at 11:59 p.m. EDT on June 6, 2013.
The Commission temporarily suspended trading in the securities of these four issuers due to a lack of current and accurate information about the companies because they have not filed periodic reports with the Commission in over a year. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act). The Commission cautions brokers, dealers, shareholders and prospective purchasers that they should carefully consider the foregoing information along with all other currently available information and any information subsequently issued by these companies. Brokers and dealers should be alert to the fact that, pursuant to Exchange Act Rule 15c2-11, at the termination of the trading suspensions, no quotation may be entered relating to the securities of the subject companies unless and until the broker or dealer has strictly complied with all of the provisions of the rule. If any broker or dealer is uncertain as to what is required by the rule, it should refrain from entering quotations relating to the securities of these companies that have been subject to a trading suspension until such time as it has familiarized itself with the rule and is certain that all of its provisions have been met. (Rel. 34-69625) ENFORCEMENT PROCEEDINGSSEC Charges Atlanta-area Registered Representative and Registered Investment Adviser Representative with Securities FraudThe Commission filed an emergency action seeking a temporary restraining order and other emergency relief in federal court in the Northern District of Georgia, charging Blake Richards (Richards), a Buford, Georgia resident with violations of the federal securities laws for misappropriating investor funds. The Honorable Julie E. Carnes, the Chief Judge of the Northern District of Georgia, granted the Commission’s request for emergency relief, issuing an order that temporarily restrained Richards from further securities laws violations, froze Richards’s assets, prevented the destruction of documents and expedited discovery. The Court also set a hearing date of June 6 for the Commission’s request for a preliminary injunction. The Commission’s complaint also seeks a permanent injunction, disgorgement of ill-gotten gains with prejudgment interest, and civil penalties. Those claims will be adjudicated at a later date. The Commission’s complaint alleges that, since at least 2008, Richards, a registered representative of a broker dealer, misappropriated at least $2 million from at least seven investors. The majority of the misappropriated funds constituted retirement savings and/or life insurance proceeds from deceased spouses. In its complaint, the Commission alleges that Richards instructed investors to write out checks to entities under his control with the understanding that Richards would invest their funds in fixed income assets, variable annuities and/or common stock. The complaint alleges that none of these investments were ever made. None of the investments appeared on the client’s brokerage account statements, and Richards received no commission income from these investments. The complaint further alleges that Richards siphoned off the funds entrusted to him for personal use. The complaint alleges that Richards violated the antifraud provisions of the federal securities laws, Section 17(a) of the Securities Act of 1933 (“Securities Act”), Section 10(b) of the Securities Exchange Act of 1934 (“Exchange Act”) and Rule 10b-5 thereunder. The complaint also alleges that Richards violated Sections 206 (1) and Section 206 (2) of the Investment Advisers Act of 1940 (“Advisers Act”), the antifraud provisions of the Advisers Act. [SEC v. In this Order, the Division of Enforcement (Division) alleges that the respective Respondents are delinquent in their required periodic filings with the Commission. In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and/or 13a-13 thereunder, are true. The judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in the proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. (Rel. 34-69626; File No. 3-15330) In the Matter of Neil M.M. MorrisonThe Commission today ordered Neil M.M. Morrison, a former investment banker at Goldman, Sachs & Co., to pay a civil money penalty of $100,000 and barred him from the securities industry with the right to apply for reentry after five years for his role in a “pay-to-play” scheme involving undisclosed campaign contributions to then-Massachusetts state Treasurer Timothy P. Cahill while he was a candidate for governor. This marks the first SEC enforcement action sanctioning an individual for violating the Municipal Securities Rulemaking Board (MSRB) pay-to-play rules through “in-kind” non-cash contributions to a political campaign. According to the SEC’s order, Morrison was a vice president in the firm’s Boston office and solicited underwriting business from the Massachusetts Treasurer’s Office beginning in July 2008. Morrison also was substantially engaged in working on Cahill’s political campaigns from November 2008 to October 2010. Morrison at times conducted campaign activities from the Goldman Sachs office during work hours and using the firm’s phones and e-mail. Morrison’s use of Goldman Sachs work time and resources for campaign activities constituted valuable in-kind campaign contributions to Cahill that were attributable to Goldman Sachs and disqualified the firm from engaging in municipal underwriting business with certain Massachusetts municipal issuers for two years after the contributions. Nevertheless, Goldman Sachs subsequently participated in 30 prohibited underwritings with Massachusetts issuers and earned more than $7.5 million in underwriting fees. Goldman Sachs settled similar charges with the SEC in September 2012 by agreeing to, among other things, pay over $8.2 million in disgorgement and prejudgment interest, and a $3.75 million penalty, the largest ever imposed by the SEC for MSRB pay-to-play violations. Morrison agreed to settle the charges, without admitting or denying the findings, by paying a $100,000 penalty, which is the largest ever imposed by the SEC against an individual for violating, or causing the violation of, the MSRB pay-to-play rules.. In addition, Morrison agreed to cease and desist from committing or causing any violations and any future violations of the provisions referenced in the order, and also agreed to be barred from the securities industry with the right to apply for reentry after five years, which represents the first time an individual has been barred from the industry for violating, or causing the violation of, the pay-to-play rules. The SEC’s order against Morrison found that he caused Goldman Sachs to violate Section 15B(c)(1) of the Exchange Act and MSRB Rules G-8, G-9, G-37(b), and G-37(e). In addition, Morrison circumvented the pay-to-play rules by soliciting campaign contributions in violation of MSRB Rule G-37(c) and making an indirect contribution to the Cahill campaign through another person in violation of MSRB Rule G-37(d). Moreover, the SEC’s order found that Morrison’s campaign work and his indirect financial contribution created a conflict of interest that was not disclosed in the relevant municipal securities offerings in violation of MSRB Rule G-17. SolomonThe Commission today issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Notice of Hearing (Order) against Joshua H. Constantin and Brian C. Solomon (Respondents) based upon the entry of permanent injunctions against Respondents in the United States District Court for the Southern District of New York (Securities and Exchange Commission v. Joshua Constantin, et al., Civil Action No. 11-cv-4642 (MHD)). In the Order, the Division of Enforcement (Division) alleges that on May 7, 2013 the federal court entered a judgment against Respondents, which permanently enjoined each of them from violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder.
