Enforcement ProceedingsSEC Suspends Attorney Bruce H. HaglundThe United States Securities and Exchange Commission announced that it has issued an Order Instituting Public Administrative Proceedings and Imposing Temporary Suspension Pursuant to Rule 102(e)(3)(i) of the Commission’s Rules of Practice that suspends attorney Bruce H. Haglund from appearing or practicing before the Commission. The Commission’s Order was based on a final judgment against Haglund issued by the United States District Court for the Central District of California in SEC v. Francis E. Wilde, et al., Case No. SACV 11-0315-DOC (AJWx), which permanently enjoins him from future violations of federal securities laws. The injunction stemmed from Haglund’s role in aiding and abetting a fraudulent prime bank investment scheme, which resulted in a near total loss of investors’ money. Haglund has 30 days to petition the Commission to lift the temporary suspension. If he does not make a timely petition, the suspension will become permanent pursuant to Rule 102(e)(3)(ii). (Rel. 34-69165; File No. 3-15247) Revocation of Registration of Securities of Americas Energy Company-Aeco, Formerly Known as Trend Technology CorporationThe Securities and Exchange Commission announced the revocation of the registration of the securities of Americas Energy Company-AECo, formerly known as Trend Technology Corporation (Americas), of Knoxville, Tennessee and formerly of Vancouver, British Columbia, Canada, registered with the Commission pursuant to Section 12 of the Securities Exchange Act of 1934 (Exchange Act), on March 20, 2013 pursuant to Section 12(j) of the Exchange Act. In its Order Instituting Proceedings, Making Findings, and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 (Order), revoking the registration of securities of Americas registered with the Commission pursuant to Section 12 of the Exchange Act, the Commission found, among other things, that Americas had failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder, while its common stock was registered with the Commission, in that Americas had not filed an Annual Report on Form 10-K since July 18, 2011, or periodic or quarterly reports on Form 10-Q for any fiscal period subsequent to its fiscal quarter ended September 30, 2011. Further, brokers and dealers should be alert to the fact that, Section 12(j) provides, in pertinent part, as follows: No member of a national securities exchange, broker, or dealer shall make use of the mails or any means or instrumentality of interstate commerce to effect any transaction in, or to induce the purchase or sale of, any security the registration of which has been and is suspended or revoked pursuant to the preceding sentence. (Rel. 34-69191; File No. 3-15253) California Hedge Fund Manager Agrees to $1.8 Million Settlement in Galleon-Related Insider Trading CaseOn March 20, 2013, the Securities and Exchange Commission announced that the Honorable Jed S. Rakoff of the United States District Court for the Southern District of New York has entered a final judgment approving a $1.8 million settlement between the SEC and hedge fund manager Douglas F. Whitman and his firm Whitman Capital in a case that arose from the SEC’s investigation of widespread insider trading perpetrated by Raj Rajaratnam of Gallon Management and other hedge fund managers. In its February 2012 action, SEC v. Douglas F. Whitman et al., 12-CV-1055 (SDNY) (JSR), the SEC alleged that Whitman and Whitman Capital illegally traded based on material nonpublic information obtained from Rajaratnam associate Roomy Khan, who was Whitman’s friend and neighbor. Khan tipped Whitman with confidential details about Polycom Inc.’s fourth quarter 2005 earnings and Google Inc.’s second quarter 2007 earnings prior to the public announcements of those financial results by the companies. Khan had received the material non-public information that she conveyed to Whitman from a high-ranking executive at Polycom and from an employee of an investor relations firm retained by Google. According to the SEC complaint, hedge funds managed by Whitman Capital reaped over $900,000 in ill-gotten gains by trading on Khan’s illegal tips. On August 21, 2012, in the parallel criminal case arising out of the same facts, Whitman was convicted of two counts of conspiracy to commit securities fraud and two counts of securities fraud. On January 29, 2012, Whitman was sentenced to two years in prison, followed by one year of supervised release, and ordered to pay forfeiture of $935,306, and a $250,000 criminal fine. The final judgment in the SEC action permanently enjoins Whitman and Whitman Capital from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Exchange Act Rule 10b-5. It also requires Whitman and Whitman Capital to jointly and severally disgorge $935,306, and orders Whitman to pay a civil penalty in the amount of $935,306. Pursuant to the final judgment, Whitman’s civil disgorgement liability will be offset by his obligation to make criminal forfeiture of the same amount. The imposition of the civil penalty is in addition to the criminal fine that has been assessed. Separately, Whitman has also agreed to be barred from the securities industry. [SEC v. Douglas F. Whitman and Whitman Capital, LLC, Civil Action No. 12-CV-1055 (SDNY) (JSR)] (LR-22653) SEC Settles With Matthew Proudfoot And Laurie Vrvilo In Gold Mining Offering Fraud CaseThe Securities and Exchange Commission today announced that it has obtained Final Judgments against defendants Matthew Dale Proudfoot (Matthew) and Laurie Anne Vrvilo (Laurie) in district court litigation in which the SEC alleged they participated in a gold mine investment scheme. According to the SEC’s Complaint, Matthew and Laurie falsely promised investors whopping returns from a gold mining operation while investors’ money was actually spent on family cars, jewelry, vacations, and vitamin supplements. On July 17, 2012, the SEC filed a Complaint alleging that Harry Dean Proudfoot III of Mt. Vernon, Ohio, and his children Matthew of Colbert, Wash., and Laurie of Tigard, Ore., raised $2.7 million from approximately 140 investors in 23 states through their Portland, Oregon-based company 3 Eagles Research & Development LLC (3 Eagles). The SEC’s complaint charged 3 Eagles, Harry Proudfoot, Matthew Proudfoot and Laurie Vrvilo with violations of Sections 5(a), 5(c) and 17 (a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5(a), (b) or (c) thereunder. The complaint also charges Bukantis with violating Section 15(a)(1) of the Exchange Act by selling securities as a unregistered broker. The complaint seeks permanent injunctions, disgorgement with prejudgment interest and civil monetary penalties. In their Consents to the Final Judgments, Matthew and Laurie agreed, without admitting or denying the Complaint’s allegations to the entry of permanent injunctions prohibiting their future violations of Sections 5(a), 5(c) and 17 (a) of the Securities Act and of Section 10(b) of the Exchange Act and Rule 10b-5(a), (b) or (c) thereunder. Matthew and Laurie also agreed to be jointly and severally liable for the disgorgement of the approximately $2.72 million raised from 3 Eagles investors between September 2009 and October 2011, plus prejudgment interest on that amount. Based upon the financial information submitted by Matthew and Laurie to the Commission, the Final Judgment does not impose any civil monetary penalties against them. The SEC’s case is still pending against 3 Eagles, which has defaulted in the litigation, and against Harry Proudfoot and Dennis Bukantis, who have filed answers in the litigation.
